SEC NEWS DIGEST Issue 2003-35 February 24, 2003 ENFORCEMENT PROCEEDINGS PROCEEDINGS INSTITUTED AND SETTLED AGAINST ROBERT GLAZEWSKI AND MATTHEW MATZ On Feb. 21, the Commission instituted administrative and cease-and- desist proceedings against Robert E. Glazewski and Matthew A. Matz, both Pennsylvania residents. In the Orders, the Commission made findings that Matz and Glazewski sold securities in a fraudulent scheme orchestrated by Robert L. Bentley of Paoli, Pennsylvania. Bentley held himself out to his customers, most of whom were financial institutions, as a broker of bank-issued, federally insured certificates of deposit. Bentley in fact bought CDs with customer funds. However, Bentley's customers did not acquire a direct ownership interest in these CDs. Instead, beginning in 1996, Bentley issued to the customers separate instruments, which were securities in the form of notes or investment contracts. These securities promised to pay interest rates and had maturity dates that varied from those terms in the underlying CDs. In many instances, Bentley bought long-term CDs and issued shorter-term securities to his customers. Consequently, buyers of Bentley's securities depended upon Bentley, rather than the bank that issued the underlying CD, for the return of their principal. In the Orders the Commission made findings that Matz and Glazewski materially misled their clients about the nature of the investment they were selling to their customers. Furthermore, the Commission found that Matz and Glazewski misleadingly led their customers to believe that their transactions were being made through a registered broker-dealer, when in fact their transactions were not made through a registered or regulated entity. The Commission also found that Matz and Glazewski acted as brokers without being registered with the Commission. As a result, the Commission found that Matz and Glazewski willfully violated Sections 17(a)(2) and (3) of the Securities Act of 1933 and Section 15(a) of the Securities Exchange Act of 1934. Simultaneously with the institution of proceedings, the Commission accepted offers of settlement from Matz and Glazewski. Pursuant to these offers of settlement, each is suspended from association with a broker-dealer or investment adviser for six months and ordered to cease and desist from committing any violations and any future violations of Sections 17(a)(2) and (3) of the Securities Act and Section 15(a) of the Exchange Act. Matz and Glazewski are also ordered to disgorge $710,874 and $672,147, respectively, with partial waivers of these amounts and non-imposition of civil penalties based on their sworn financial representations. In October 2001, the Commission filed an injunctive action against Bentley and his entities through which he carried out the scheme, Entrust Group and Bentley Financial Services, Inc. Matz, Rels 33-8195; 34- 47391; IA-2111; File No. 3-11043) SEC FILES FRAUD ACTION AGAINST DOUGLAS NORMAN, FOUNDER OF WORLD TRANSPORT AUTHORITY, INC. On Feb. 21, the Commission filed suit in the United States District Court for the Southern District of New York against Douglas Norman, the self-described founder and de facto chief executive of World Transport Authority, Inc. (WTA). According to the complaint, WTA, a Canadian corporation headquartered in the San Diego, California, area, claims to have designed a revolutionary car, called the WorldStar, and a unique system for manufacturing the car, called a "micro-factory," which can be set up in 90 days and thereafter produce a single car per day. The complaint alleges that beginning no later than calendar year 2000, and continuing into 2001, Norman knew of and approved materially false or misleading press releases issued by WTA, made or knowingly permitted the posting of materially false or misleading statements on the Internet, failed to file required reports concerning his beneficial ownership and holdings of WTA stock, and permitted WTA to file materially false or misleading quarterly and annual reports with the Commission. Also, the complaint alleges that during the period when the false or misleading statements were being made, Norman sold at inflated prices at least 5.5 million shares of WTA stock without registration, realizing at least $1.8 million from the sales. The U.S. Attorney's Office for the Southern District of New York, on the same day, announced that an indictment had been handed up against Norman charging one count of securities fraud. In its complaint, the Commission requests that the Court issue a final judgment of permanent injunction and other relief against Norman based upon violations he committed, or for which he is liable as a controlling person of WTA, of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Sections 10(b), 13(a),13(d), and 16(a) of the Securities Exchange Act of 1934 and Exchange Act Rules 10b-5, 12b-20, l3a-1, 13a- 13, 13d-1, and 16a-3. The Commission also is seeking an order that Norman be prohibited from acting as an officer or director of a public company and from participating in any offering of penny stock, that he provide an accounting, that he disgorge, with prejudgment interest, certain trading profits and other remuneration, and that he pay civil penalties under the Securities Act and the Exchange Act.
