SEC NEWS DIGEST Issue 2003-33 February 20, 2003 ENFORCEMENT PROCEEDINGS SEC v. SAMUEL AARON MELTZER On Feb. 18, the Commission filed civil charges in federal district court in Brooklyn, New York, against Samuel Aaron Meltzer (Meltzer), a professional Internet "spammer," alleging that Meltzer used the Internet to commit securities fraud. In return for compensation from stock promoters and issuers, Meltzer sent millions of unsolicited emails and created numerous websites to promote various penny stocks. In order to conceal his identity - and to avoid the detection of web hosts seeking to stop Internet spam - Meltzer operated under at least thirty different assumed Internet identities. The SEC's complaint alleges that Meltzer's spam and websites made false and misleading representations about the stock he helped to promote. First, Meltzer falsely stated that his recommendations represented his own investment opinions based on his review of the issuer's public filings and his interviews with the issuer's management. In fact, Meltzer did not review the issuers' filings, did not interview their management, and simply republished recommendations and representations that he received from the promoters who had hired him. Second, in his emails and websites, Meltzer knowingly or recklessly made false and misleading representations concerning the issuers' current business and projections of future performance that had no reasonable basis in fact. Between 1998 and 2001, Meltzer touted the stocks of at least twelve issuers and received at nearly $160,000 in stock and cash as ill-gotten gains as a result of his fraudulent conduct. The complaint charges Meltzer with violations of the antifraud provisions of the federal securities laws, Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. Hurley, EDNY] (LR-17985) COURT ENTERS DEFAULT JUDGMENT AGAINST CANADIAN INTERNET PROMOTER The Commission announced that on Feb. 18 the Honorable Lee R. West, U.S. District Judge for the Western District of Oklahoma, entered a default judgment against Garry W. Stroud, ordering him to pay disgorgement and prejudgment interest in the amount of $1,044,879, a $956,379 civil penalty and enjoining him from further violations of the federal securities laws. Previously, Judge West issued emergency orders, including a temporary restraining order, preliminary injunction, asset- freeze and the appointment of a temporary receiver against Stroud, who operated his scheme from British Columbia, Canada. On June 28, 2001, the Commission filed suit against Stroud in federal district court in Oklahoma City, Oklahoma. The Commission's complaint charged Stroud with conducting an ongoing Internet investment scheme that fleeced over 2,200 investors worldwide of approximately $1 million since 1998. According to the Commission's complaint, Stroud, operating under several fictitious businesses, used Internet websites and e-mail to hawk seven spurious investments, including so-called "Morgenthau Gold Bond Certificates," foreign gold-mining projects, and "prime-bank" trading programs, promising investors extraordinary returns with little or no risk. The complaint further alleged that these investments were, in every case, pure shams and that Stroud had not paid a single investor the promised returns. Stroud was assisted in the scheme, according to the complaint, by Adele Louros, whom it named as a relief defendant. Moreover, according to the complaint, Stroud targeted his fraudulent investment offerings mainly to investors who were recently defrauded in another investment scheme. That scheme, known as E-Biz Ventures, was the subject of a Commission enforcement action in January 2001 involving over 20,000 investors and over $9 million (SEC v. E-Biz Ventures, et al., Lit. Rel. 16886, Feb. 1, 2001). The Court previously entered judgment by default against Louros on July 30, 2002. The court also ordered Stroud to provide a post-judgment accounting of all investor funds he obtained, to repatriate all assets outside the jurisdiction of the Court and further issued a permanent injunction against future violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. Stroud, et al., USDC WD/OK, Civil Action No. CIV-01-999-W] (LR-17988) INJUNCTIVE ACTION AGAINST NORMAN ROUNDS The Commission filed a civil action in the U.S. District Court for the District of Colorado against Norman P. Rounds, a resident of Greenwood Village, Colorado, for acting as an unregistered broker or dealer during 2000 and 2001. In 1996, the Commission barred Rounds from associating with a broker or dealer with a right to reapply for such association after one year. In its complaint, the Commission alleges that Rounds participated in the offer and sale of partnership interests in natural gas well drilling programs by directly soliciting individual investors, promoting the investment programs to brokers, and arranging informational meetings for potential investors. According to the complaint, Rounds received almost $900,000 for his participation in the sale of the investments. The complaint alleges that Rounds violated Section 15(a)(1) of the Securities Exchange Act of 1934 (Exchange Act). Because Rounds had never reapplied or been granted the right to associate with a broker or dealer following the expiration of the Commission's one year bar order against him, the complaint alleges that his conduct also violated the bar. The Commission seeks a final judgment enjoining Rounds from further violations of Section 15(a)(1) of the Exchange Act, an order enforcing the Commission's prior bar, civil monetary penalties, and disgorgement of the funds Rounds received in connection with his illegal activities. Colo.] (LR-17989) SEC CHARGES OIL AND GAS COMPANY AND ITS PRESIDENT WITH FRAUD, AND OFFERING AND SELLING UNREGISTERED SECURITIES On Feb. 19, the Commission filed a civil action against La Mesa Geoscience, Inc., La Mesa Partners, L.C. and La Mesa Group, L.P. (collectively, La Mesa) and the president of all three entities, Kenneth Hooper. In its complaint, the Commission alleged that Hooper and La Mesa engaged in fraud in connection with the unregistered offering of securities, and that Hooper engaged in unregistered brokerage activities. Simultaneously with the filing of its action, the Commission announced that Hooper and La Mesa, without admitting or denying the Commission's charges, consented to the entry of a permanent injunction enjoining them from further violating the securities laws and that Hooper agreed to pay a $40,000 civil penalty. According to the Commission's complaint, La Mesa and Hooper committed fraud by failing to disclose material risks associated with the La Mesa securities, and by making materially misleading and false statements concerning La Mesa's financial condition and future business prospects. The complaint alleges that the defendants violated Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 and Section 10b of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder. The compliant also alleges that Hooper violated Section 15(a) of the Exchange Act through his unregistered brokerage activities. [SEC v.
