SEC NEWS DIGEST Issue 2003-31 February 14, 2003 ENFORCEMENT PROCEEDINGS CEASE-AND-DESIST AND RULE 102(e) ORDER ENTERED AGAINST GLEN MORINAKA On Feb. 13, the Commission accepted an offer of settlement from Glen Morinaka, CPA in the pending administrative proceeding against him. During the period in question Morinaka was the chairman and chief financial officer of Gas & Oil Technologies, Inc. The Commission alleged that Morinaka willfully violated Section 17(a) of the Securities Act of 1933, and instituted cease-and-desist proceedings and proceedings pursuant to Rule 102(e) of the Commission's Rules of Practice against him. According to the Order Making Findings, in October 2001, Gas & Oil filed a registration statement on Form S-1 with the Commission containing financial statements in which the company improperly recorded, as both an asset and income, $21.75 million from the acquisition of certain Russian patents. The Order finds that the $21.75 million represented 100% of Gas & Oil's income and nearly all of its assets. The Order further finds that the failure of Gas & Oil and Morinaka to properly record the patent acquisition caused the company's financial statements to materially misrepresent its financial condition and results of operations. The Order also finds that Gas & Oil's registration statement made material misrepresentations and omitted to state material facts concerning the company's business operations and assets. The Order further finds that Morinaka was personally involved in preparing the misleading disclosure made in the registration statement, and that he prepared the financial statements included in the registration statement. Morinaka has agreed, without admitting or denying the findings in the Order, to cease and desist from committing or causing any violation, or any future violation, of Section 17(a) of the Securities Act, and to be denied the privilege of appearing or practicing before the Commission as an accountant. (Rels. 33-8192; AAE Rel. 1717; File No. 3-10858) SEC OBTAINS JUDGMENT AGAINST FORMER FORT WORTH BANKER The Commission announced today the entry of a final judgment of permanent injunction against former Texas banker G. Matthias Heinzelmann, III. On Feb. 6, The Honorable John H. McByrde, of the United States District for the Northern District of Texas, Fort Worth Division, entered a judgment against Heinzelmann, for what the Commission alleged was his role in hiding bank loan losses of $1,827,392 at Surety Bank in Fort Worth, Texas. Heinzelmann, who consented to the judgment, without admitting or denying the Commission's allegations, was the president and a director of Surety Bank's parent, Surety Capital Corporation of Fort Worth. As part of the judgment, he was ordered to pay a civil penalty of $40,000 and barred from serving as an officer or director of a public company. The Commission alleged in its complaint that the hidden loan losses had a material impact on the parent company -- Surety Capital's financial statements that were included in its Forms 10-K and Forms10-Q from 1996 through 1999. Further, the Commission alleged that, because of the misstatements, Surety Capital failed to make and keep books, records and accounts that accurately reflected its transactions and dispositions of assets, and also failed to maintain an adequate system of internal financial controls. Without admitting or denying the allegations in the SEC's complaint, Heinzelmann consented to the judgment entered on Feb. 6, in the United States District for the Northern District of Texas, Fort Worth Division. The Court's judgment permanently enjoins Heinzelmann from violating Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13b2-1 and 13b2-2 thereunder, and aiding or abetting violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder.
