SEC NEWS DIGEST Issue 2005-22 February 3, 2005 RULES AND RELATED MATTERS SEC ADOPTS RULE ESTABLISHING A VOLUNTARY PROGRAM FOR REPORTING FINANCIAL INFORMATION ON EDGAR USING XBRL The Commission today issued a release adopting amendments to establish a voluntary program related to eXtensible Business Reporting Language (XBRL). Registrants may voluntarily furnish XBRL data in an exhibit to specified EDGAR filings under the Securities Exchange Act of 1934 and the Investment Company Act of 1940. This program begins with the 2004 calendar year-end reporting season. The primary purpose of the voluntary program is to assess XBRL technology, including both the ability of registrants to tag their financial information using XBRL and the benefits of using tagged data for analysis. SEC Chairman William H. Donaldson said, "As I mentioned when the Commission first announced this initiative, this initiative is part of the Commission’s broader effort to improve the quality of information available to investors and the marketplace. By working to enhance the Commission’s filing and disclosure process through the use of new data formats, including tagged data, the Commission can improve how content is organized and analyzed — improvements that will benefit everyone who utilizes the SEC’s public disclosure process." Data tagging is gaining prominence as a format for enhancing financial reporting data using eXtensible Mark-Up Language (XML) derivatives, such as XBRL. Tagging provides greater context to data through standard definitions that turn text-based information, such as the filings currently contained in the Commission's EDGAR system, into documents that can be retrieved, searched and analyzed through automated means. Data tags describe information such as items included in financial statements. This enables investors and other marketplace participants to analyze data from different sources and allows for the automatic exchange of financial information across various software platforms, including web services. (Rels. 33-8529; 34-51129; 35- 27944; 39-2432; IC-26747; Press Rel. 2005-12) ENFORCEMENT PROCEEDINGS IN THE MATTER OF MICHAEL NEWMAN An Administrative Law Judge has issued an Order Making Findings of Fact and Imposing Remedial Sanction by Default (Default Order) in the matter of Michael Sydney Newman. The Order Instituting Proceedings alleged that on February 3 the U.S. District Court for the District of Utah entered a final judgment of default against Respondent Michael Newman (Newman), permanently enjoining him from future violations of Section 17(a) of the Securities Act of 1933 and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder, barring Newman from participating in any offering of penny stock, and ordering Newman to pay disgorgement, prejudgment interest, and a civil penalty in amounts to be determined by further order. The Default Order finds these allegations to be true and bars Newman from association with any broker or dealer. (Rel. 34-51106; File No. 3-11630) COMMISSION REMANDS REQUEST TO SET ASIDE DEFAULT AGAINST HAROLD HARRIS AND RONALD CREWS An administrative law judge entered a default order against Respondents Harold F. Harris and Ronald E. Crews. Respondents have appealed, stating that they were unaware they were in danger of default because their attorney had failed to advise them of the status of their case. The Commission has remanded Respondents’ request to the law judge for consideration as a motion to set aside default under Rule of Practice 155(b). (Rel. 34-51130; File No. 3-11573) SEC INSTITUTES ADMINISTRATIVE PROCEEDINGS AGAINST SCOTT MCCREADIE On February 3, the Commission issued an Order Instituting Administrative Proceedings and Notice of Hearing Pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Exchange Act) and Section 203(f) of the Investment Advisers Act of 1940 (Advisers Act) (the Order) against Scott F. McCreadie of Wellington, Florida. The Division of Enforcement (Division) alleges in the Order that from January 1999 until June 2002, McCreadie was employed by UBS PaineWebber (PaineWebber), a registered investment adviser and broker-dealer now known as UBS Financial Services, Inc. The Division alleges that, on Nov. 10, 2004, the United States Attorney for the District of Massachusetts filed a criminal Information against McCreadie concerning his misappropriation of funds from PaineWebber customers. The Information charged McCreadie with one count of violating Section 10(b) of the Exchange Act and two counts of tax evasion. The case was filed in U.S. District Court for the District of Massachusetts and is entitled United States v. Scott F. McCreadie (Criminal No. 04-CR-10338WGY). The Information charged that, from in or about April 2000 through June 2002, McCreadie engaged in a scheme to defraud his wife’s family in connection with the purchase and sale of securities. According to the Information, McCreadie diverted into his own personal brokerage and bank accounts over $700,000 from PaineWebber brokerage accounts belonging to his wifes family members. McCreadie was the designated registered representative or financial adviser for these accounts. The Information alleges, among other things, that McCreadie used forged letters of authorization and forged checks to transfer funds out of various PaineWebber accounts in the name of his wife’s family into a PaineWebber brokerage account and a separate bank account, both held jointly by McCreadie and his wife. According to the Information, McCreadie then spent the funds on stock trades and personal expenses. The Division further alleges that, on Jan. 18, 2005, McCreadie pled guilty to the three counts alleged in the Information, including the violation of Section 10(b) of the Exchange Act described above. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide McCreadie an opportunity to dispute the allegations, and to determine what, if any, remedial action is appropriate and in the public interest pursuant to Section 15(b) of the Exchange Act or Section 203(f) of the Advisers Act. The Order requires the Administrative Law Judge to issue an initial decision no later than 210 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice.
