SEC NEWS DIGEST Issue 2003-15 January 23, 2003 COMMISSION ANNOUNCEMENTS SEC SUSPENDS TRADING OF SECURITIES OF EMISSIONS CONTROLS CORPORATION On Jan. 23, the Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act), of trading of the securities of Emission Controls Corporation (Emission Controls) (stock symbol EMCS), a Delaware corporation, at 9:30 a.m. EST on Thursday, Jan. 23, 2003, and terminating at 11:59 p.m. EST on Wednesday, Feb. 5, 2003. The Commission temporarily suspended trading in the securities of Emission Controls because of questions that have been raised about the accuracy and adequacy of publicly disseminated information concerning, among other things, Emission Controls' products and business prospects. The Commission cautions broker-dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer has any questions as to whether or not he has complied with the rule, he should not enter any quotation but immediately contact the staff of the Securities and Exchange Commission in Washington, D.C. If any broker or dealer is uncertain as to what is required by Rule 15c2- 11, he should refrain from entering quotations relating to Emission Controls' securities until such time as he has familiarized himself with the rule and is certain that all of its provisions have been met. (Rel. 34-47234) ENFORCEMENT PROCEEDINGS COMMISSION SUSTAINS NASD ACTION AGAINST JOHN MONTELBANO AND GERARD McMAHON AND MODIFIES NASD ACTION AGAINST MICHAEL GALASSO, JR. The Commission has sustained NASD disciplinary action against John Montelbano and Gerard McMahon, and modified NASD action against Michael Galasso, Jr. Montelbano was acting president of Monitor Investment Group, Inc., a former NASD member firm, McMahon was the firm's research director, and Galasso the firm's trader. Montelbano and McMahon were barred from association with any NASD member in any capacity, suspended from any such association for a period of two years, and fined $90,000 each. Galasso was also barred, suspended for 10 business days, and fined $81,000. The Commission found that, during the period December 1995 through May 1996, respondents participated in a manipulation of the common stock of Accessible Software, Inc. The Commission also found that respondents gave false investigative testimony to the NASD, that Montelbano was guilty of deficient supervision, and that Galasso charged Monitor's customers excessive markups and violated former Rule 10b-6 under the Securities Exchange Act. The Commission exonerated Galasso of the charge that he assisted in the creation of false customer confirmations. (Rel. 34-47227; File No. 3-10428) COMMISSION OBTAINS INJUNCTION AND BAR AGAINST INVESTMENT ADVISER The Commission announced that, on Oct. 9, 2002, the Honorable Charles E. Breyer, United States District Judge for the Northern District of California, entered a judgment of permanent injunction against defendant Fred Albert Schluep, an investment adviser formerly doing business as CRA Financial Planners in San Mateo, California. The judgment restrained and permanently enjoined Schluep from violating Sections 206(1) and 206(2) of the Investment Advisers Act of 1940, and Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. Schluep consented to the entry of the judgment without admitting or denying the allegations against him in the complaint that the Commission filed on Sept. 4, 2002. The Commission's complaint alleged that from approximately September 1991 through March 2001, Schluep misappropriated over $5 million from at least 26 clients by forging their signatures on checks and other documents, and lying to them, in order to obtain their investment funds. The complaint further alleged that Schluep lulled his clients into believing that the misappropriated funds would be repaid by paying them with money from other clients' accounts, or giving them checks that were later returned for insufficient funds. The Commission's complaint also alleged that Schluep used his clients' funds to pay approximately $1.5 million to maintain a commercial property in Berkeley, California; $538,0000 to acquire a commercial property in South San Francisco, California; and $750,000 to support an automotive brake company in Concord, California. According to the complaint, Schluep also used approximately $100,000 of his clients' funds to pay personal expenses. In addition to a permanent injunction against Schluep, the Commission's complaint sought a judgment requiring Schluep to pay penalties, and requiring Schluep and relief defendant Howard G. Sylvester to disgorge ill-gotten gains and pay prejudgment interest. Sylvester allegedly received ill-gotten gains of approximately $955,000. On Jan. 22, the Commission instituted settled administrative proceedings against Schluep based on the entry of the civil injunction against him. Without admitting or denying the Commission's findings, Schluep consented to the entry of the Commission's order, which bars him from association with any investment adviser. [SEC v.
