SEC NEWS DIGEST Issue 2003-08 January 13, 2003 COMMISSION ANNOUNCEMENTS FEE RATE ADVISORY #8 FOR FISCAL YEAR 2003 The continuing resolution funding the Securities and Exchange Commission for fiscal 2003 since Oct. 1, 2002 has been extended through Jan. 31, 2003. Therefore, the Section 6(b) fee rate applicable to the registration of securities, the Section 13(e) fee rate applicable to the repurchase of securities, and the Section 14(g) fee rates applicable to proxy solicitations and information statements in corporate control transactions will remain at the current rate of $92.00 per million. The Section 6(b) rate is also the rate used to calculate the fees payable with the Annual Notice of Securities Sold Pursuant to Rule 24f-2 under the Investment Company Act of 1940. Five days after enactment of the Commission's regular appropriation, the fee rates for Section 6(b) of the Securities Act of 1933 and Sections 13(e) and 14(g) of the Securities Exchange Act of 1934 will be reduced from $92.00 per million to $80.90 per million as previously announced. In addition, the Section 31 fee rate applicable to securities transactions on the exchanges and NASDAQ also will remain at the current rate of $30.10 per million. Thirty days after enactment of the Commission's regular appropriation, the fee rate for Exchange Act Section 31 transactions will be reduced to $25.20 per million as previously announced. The delayed effective dates for the fee rate reductions are statutory requirements over which the Commission has no discretion. The Commission will issue further notices as appropriate to keep the public informed of developments relating to enactment of the Commission's regular appropriation and the effective dates for the above fee rate changes. These notices will be posted at the SEC's Internet Web site at http://www.sec.gov. (Press Rel. 2003-4) ENFORCEMENT PROCEEDINGS EX-INVESTMENT ADVISER GORDON ROLLERT BARRED Gordon J. Rollert, a former investment adviser, has been barred from working as an investment adviser in the future. The sanction was based on his criminal conviction and was ordered in an administrative proceeding before an administrative law judge. Rollert was convicted of wire fraud and mail fraud in December 2002. The wrongdoing that led to his conviction occurred in connection with investment advisory services he provided to a church over a period of several years. Rollert diverted over $265,000 of commissions paid to a broker for the church's trading to his own benefit, through false invoices and other misrepresentations to the broker. (Rel. IA-2098; File No. 3-10996) SEC INSTITUTES ADMINISTRATIVE PROCEEDING AGAINST MARK SCHULTZ BASED ON ENTRY OF INJUNCTIONS On Jan. 10, the Commission instituted an administrative proceeding against Mark Schultz, a resident of Fuengirola, Spain, based on the entry of injunctions against him. In the Order Instituting Proceedings, the Division of Enforcement alleges, inter alia, that a U.S. District Court entered default injunctions against Schultz. SEC v. Mark Schultz, No. 00 Civ. 3443 (S.D.N.Y.) (July 10, 2002) (MP). The injunctions were based on the Commission's allegations in the District Court matter that between 1995 and 1998, Schultz made fraudulent misrepresentations in violation of federal securities laws. According to the Complaint in the District Court matter, Schultz failed to disclose that he was paid by companies to recommend their stocks and that his advice was not based on independent analysis. The Complaint also alleged that Schultz failed to disclose that he intended to sell and in fact sold stock of certain companies at the same time that he recommended that readers of his publication by the companies' stocks. The companies that paid Schultz to promote their common stocks were penny stocks as defined in Section 3(a)(51)(A) of the Securities Exchange Act of 1934. In addition to the injunctions, the District Court ordered Schultz to pay disgorgement of $566,035.93, prejudgment interest of $300,871.22 and a civil penalty of $110,000. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Schultz an opportunity to dispute these allegations, and to determine whether a penny stock bar is appropriate and in the public interest. A notice has been issued giving interested persons until Feb. 4, 2003, to request a hearing on an application filed by Evergreen Ventures LLC, et al. for an order to exempt certain investment funds formed for the benefit of eligible current and former employees of Pillsbury Winthrop LLP and its affiliates from certain provisions of the Investment Company Act. A supplemental order has been issued authorizing a proposal by System Energy Resources, Inc. (System Energy) to engage in a transaction that will result in replacement letters of credit (Replacement Letters) to support certain of System Energy's existing leaseback transactions. (Rel. 35-27636) SELF-REGULATORY ORGANIZATIONS ACCELERATED APPROVAL OF A PROPOSED RULE CHANGES The Commission granted accelerated approval to a proposed rule change filed by the National Securities Clearing Corporation (SR-NSCC-2002-08) under Section 19(b)(2) of the Securities Exchange Act. The rule change will modify NSCC's clearing fund rules to permit NSCC to apply haircuts to securities pledged by NSCC participants as clearing fund collateral.
