SEC NEWS DIGEST Issue 2006-06 January 10, 2006 COMMISSION ANNOUNCEMENTS DANIEL CALUGAR AND SECURITY BROKERAGE, INC. TO PAY OVER $150 MILLION TO SETTLE SEC FRAUD ACTION FOR LATE TRADING AND MARKET TIMING The Securities and Exchange Commission today announced that Daniel Calugar and his former registered broker-dealer, Security Brokerage, Inc. (SBI), agreed to settle the SEC's charges alleging that they defrauded mutual fund investors through improper late trading and market timing. As part of the settlement, Calugar will disgorge $103 million in ill-gotten gains and pay a civil penalty of $50 million. Calugar, age 51, of Ponte Vedra Beach, Fla., and SBI, formerly based in Las Vegas, have consented to the entry of a final judgment in the SEC's civil litigation pending against them in the United States District Court for the District of Nevada. The final judgment, which is subject to approval by the Honorable Robert C. Jones, permanently enjoins Calugar and SBI from future violations of the antifraud provisions of the federal securities laws and orders Calugar to pay a total of $153 million in disgorgement and penalties. Calugar also consented to the issuance of an SEC order, based on the entry of the injunction in the federal court action, that will permanently bar him from association with any broker or dealer. SBI ceased to be a registered broker-dealer in November 2003. Calugar and SBI consented to the final judgment and SEC order without admitting or denying the allegations. Linda Chatman Thomsen, Director of the SEC's Division of Enforcement, said, "Daniel Calugar's late trading was phenomenally profitable to him and came at the expense of long-term mutual fund shareholders. The magnitude of this settlement reflects both the seriousness of the wrongdoing and the Commission's resolve to hold accountable those who defraud mutual fund shareholders." Randall R. Lee, Regional Director of the Pacific Regional Office, added, "Not only will Calugar be stripped of his ill-gotten gains, the $50 million penalty against him - the largest amount thus far imposed by the Commission on an individual in a late trading or market timing case - will serve to punish Calugar's egregious fraud, to deter future misconduct, and to provide a source of additional funds that may be distributed to victims of his offenses." In addition to $72 million that Calugar previously paid in settlement of a class action lawsuit, the $103 million that he has agreed to pay in settlement of the SEC's action has been placed in an escrow account which the Commission will seek to have distributed to harmed investors. The total of $175 million represents the trading profits that the SEC alleged that Calugar received through his illegal conduct. In addition, pursuant to the Fair Funds provision of the Sarbanes-Oxley Act of 2002, the Commission will also seek to have the $50 million penalty distributed to victims of the violations. In December 2003, the SEC filed an emergency action in federal court seeking an asset freeze, preliminary injunction, and other relief against Calugar and Security Brokerage. The SEC's complaint alleges that from at least 2001 to 2003, Calugar reaped profits of approximately $175 million through improper late trading and market timing, principally through mutual funds managed by Alliance Capital Management and Massachusetts Financial Services (MFS). The complaint alleges that Calugar routinely transmitted trading decisions for his own account through Security Brokerage one to two hours after 4:00 p.m. EST (the close of the market) without any legitimate reason, and that Security Brokerage created false internal records in which the order time for all trades was entered as 3:59 p.m. EST. The SEC's complaint further alleges that from at least March 2001 to September 2003, the defendants engaged in extensive market timing of Alliance and MFS funds despite knowing that the prospectuses for those funds either prohibited or discouraged timing and that timing was not available to most investors. In the case of Alliance, Calugar agreed to make long-term investments (referred to as "sticky assets") in Alliance hedge funds in exchange for Alliance permitting him to engage in market timing in its mutual funds. Calugar was the single largest timer at Alliance during the relevant period, according to the complaint. The complaint alleges that Calugar and SBI violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 under the Exchange Act. (Press Rel. 2006- 5) ENFORCEMENT PROCEEDINGS REVOCATION OF REGISTRATION OF SECURITIES OF FRIEDMAN'S INC. The Commission announced the revocation of the registration of securities of Friedman's Inc. (Friedman's), of Savannah, Georgia, registered with the Commission pursuant to Section 12 of the Exchange Act at 9:30 a.m. on Jan. 10, 2006, pursuant to Section 12(j) of the Securities Exchange Act of 1934 (the Exchange Act). In its Order revoking the registration of securities of Friedman's registered with the Commission pursuant to Section 12 of the Exchange Act, the Commission found the following: Friedman's failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder by failing to file an Annual Report on Form 10-K for any fiscal year subsequent to the fiscal year ending Sept. 28, 2002, or quarterly reports on Form 10-Q for any fiscal period subsequent to its fiscal quarter ending June 28, 2003. Without admitting or denying the Commission's findings, Friedman's consented to an order revoking the registration of its securities. The Commission cautions broker dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, Section 12(j) provides, in pertinent part, as follows: No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked pursuant to the preceding sentence. (Rel. 34- 53086; File No. 3-12141) SECURITIES AND EXCHANGE COMMISSION INSTITUTES ADMINISTRATIVE PROCEEDING AGAINST ESAFETYWORLD, INC. FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS The Commission announced that on Jan. 10, 2006, it instituted public administrative proceedings against eSafetyWorld, Inc. (now known as EZ Auctions and Shipping Inc.) (eSafety) to determine whether to suspend for a period not exceeding 12 months or to revoke the registration of each class of its securities registered pursuant to Section 12 of the Exchange Act of 1934 (Exchange Act). In the order instituting administrative proceedings against eSafety, the Division of Enforcement alleges that eSafety registered its securities pursuant to Section 12 of the Exchange Act. The Division also alleges that Exchange Act Section 13(a), and Rules 13a-1 and 13a- 13 promulgated thereunder, require issuers with classes of securities registered pursuant to Exchange Act Section 12 to file with the Commission current and accurate information in public reports. The Division further alleges that eSafety is delinquent in its required periodic filings with the Commission, having last filed a periodic report for the period ending March 31, 2003. A hearing will be scheduled before an Administrative Law Judge to determine whether the allegations contained in the Order Instituting Proceedings are true, to provide eSafety an opportunity to dispute these allegations, and to determine whether it is necessary and appropriate for the protection of investors to suspend for a period not exceeding 12 months or to revoke the registration of each class of eSafety's securities registered pursuant to Section 12 of the Exchange Act. (Rel. 34-53087; File No. 3-12142) IN THE MATTER OF DAVID FAUBERT On January 10, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940 against David M. Faubert. This matter follows a related action brought by the Commission, SEC v. Faubert, et al., Civil Action Number 3:05CV00510, in which the U.S. District Court for the District of Connecticut issued an order on December 14, 2005 permanently enjoining Faubert from future violations of the antifraud provisions federal securities laws. The complaint alleges that from 2000 until March 2005, Faubert defrauded as many as 15 clients out of approximately $2.4 million. Faubert promised clients he would invest their money in a "fixed account" with a guaranteed return of 8%. Instead, he diverted the clients' funds for his personal use, and concealed his fraud by providing the clients with fictitious account statements. (Rels. 34- 53089; IA-2472; File No. 3-12145) SEC CHARGES SECURITIES LAW RECIDIVIST FOR HIS ROLE IN A HEDGE FUND FRAUD AND STOCK MANIPULATION On January 9, the Commission filed civil fraud charges in the U.S. District Court for the Southern District of Florida against Anthony F. Giordano for his role in two fraudulent schemes. Giordano is a securities law recidivist living in Boca Raton, Florida. According to the SEC's complaint, the first scheme victimized several investors, including two nonprofit organizations, who lost millions of dollars in a purported hedge fund, EPG Limited Partners, Ltd. Giordano is allegedly responsible for numerous material misrepresentations and omissions to EPG investors concerning the use of their funds and EPG's purported assets and returns. Giordano is also alleged to have diverted substantial amounts of investor funds for undisclosed purposes, including approximately $1.5 million for personal use. The second scheme charged in the complaint involved market manipulation of the common stock of Weida Communications, Inc., a publicly-traded company. Giordano is alleged to have manipulated the market price for Weida common stock to approximately $5 per share, in part to facilitate the sale of Weida stock in private transactions at approximately $3 per share. Hundreds of investors, many elderly and unsophisticated, allegedly paid millions of dollars for Weida common stock at these inflated prices. Giordano is alleged to have received approximately $1.5 million of investor funds from these transactions. The SEC suspended trading in Weida securities on April 25, 2005 (34 Act Rel. No. 51603). Without admitting or denying the allegations of the complaint, Giordano consented to a final judgment permanently enjoining him from violations of Sections 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, imposing permanent officer and director and penny stock bars, and directing that he pay disgorgement of $3.25 million but providing that payment of that amount is deemed satisfied upon entry of an order requiring Giordano to pay at least that much in restitution in a related criminal case, United States of America v.
