Commission AnnouncementsSEC Office of the Chief Accountant Names Academic FellowThe Securities and Exchange Commission’s Office of the Chief Accountant today announced the selection of Urton Anderson as Academic Accounting Fellow for a one-year term beginning this summer. Academic Accounting Fellows serve as research resources for SEC staff by interpreting and communicating research materials as they relate to the agency. The fellows have been assigned to ongoing projects in the Chief Accountant’s office including rulemaking, serving as a liaison with the professional accounting and auditing standards-setting bodies, and consulting with registrants on accounting, auditing, independence and reporting matters. “The knowledge and perspective that Urton brings as a fellow from academia, including his auditing and corporate governance experience, will be of great benefit to the Office of the Chief Accountant. But more importantly, his work will benefit U.S. investors,” said James Kroeker, the SEC’s Chief Accountant. Mr. Anderson is Clark W. Thompson, Jr., Professor in Accounting at the McCombs School of Business at The University of Texas at Austin. He received his BA from St. Olaf College in Northfield, Minn., and his MA and Ph. D from the University of Minnesota. Mr. Anderson teaches internal auditing, introductory auditing, managerial accounting, corporate governance, and ethics/compliance. At McCombs, he also has held the positions of Associate Dean for Undergraduate Programs and Chair of the Accounting Department. Mr. Anderson’s research has addressed various issues in internal and external auditing – particularly auditor judgment, corporate governance, compliance, enterprise risk management and internal control. He has written four books and is one of the co-authors of the internal auditing textbook Internal Auditing: Assurance and Consulting Services. Several of these books have been translated into Spanish, Chinese, and Japanese. He has been active in the Institute of Internal Auditors and has twice served as Chair of the Internal Auditing Standards Board (2002 to 2003 and 2007 to 2010). Mr. Anderson will replace two outgoing Academic Accounting Fellows. Shawn Davis is from Emory University and recently received an SEC Law and Policy Award for her significant contributions on legislative issues related to the Dodd-Frank Act. Enforcement ProceedingsIn the Matter of Benchmark Asset Managers, LLCOn July 28, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(e) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions against Benchmark Asset Managers LLC, a registered investment adviser owned by Otto Sam Folin and Harvest Managers, LLC. The Order finds that Benchmark and Folin provided investment advice to clients for compensation, raised money from investors and advisory clients by offering and selling a variety of securities and managed and advised a group of hedge funds known as the Safe Haven Investment Portfolios LLC. The Order revokes Benchmark’s investment adviser registration based upon a final judgment entered against Benchmark on July 21, 2011, in the civil action entitled Securities and Exchange Commission v. Otto Sam Folin, et al., Civil Action Number 11-cv-04447, in the United States District Court for the Eastern District of Pennsylvania. Benchmark consented to the entry of the final judgment without admitting or denying the allegations in the Commission’s complaint. The final judgment enjoins Benchmark from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1), 206(2) and 206(4) of the Investment Advisers Act of 1940 and Rule 206(4)-8 thereunder. The final judgment also orders Benchmark to pay disgorgement, jointly and severally with Otto Sam Folin and Harvest Managers LLC, in the amount of $8,706,620, plus prejudgment interest thereon in the amount of $1,454,177 and a civil penalty of $725,000. The Commission’s complaint alleged, among other things, that Folin, Benchmark and Harvest made material misrepresentations and omissions in connection with the offer, purchase and sale of various securities in Benchmark and Harvest to advisory clients, noteholders and the Safe Haven Portfolios. Specifically, the Complaint alleged that Benchmark and Folin made misrepresentations and omissions regarding Safe Haven Portfolios’ loans to Harvest and Benchmark and certain development costs the Safe Haven Portfolios paid to Harvest and Benchmark. The Complaint further alleged Benchmark and Folin improperly valued the Safe Haven Portfolios loans to Harvest and Benchmark at cost, rather than at fair value, as required by relevant offering documents. As a result, the Complaint alleged, Benchmark and Folin provided investors with misleading account statements that reflected the loans at inflated values. The Complaint also alleged that Folin and Benchmark did not disclose Benchmark’s precarious financial condition. In a related action, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions against Otto Sam Folin (Folin Order). The Folin Order bars Folin from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization based upon the entry of a final judgment entered against Folin in the above-captioned civil action. Folin also consented to the entry of the final judgment without admitting or denying the allegations in the Commission’s complaint. (Rel. IA-3253; File No. 3-14491) In the Matter of Animal Cloning Sciences, Inc. (n/k/a Bancorp Energy, Inc.)On July 29, 2011, an Administrative Law Judge issued an Order Making Findings and Revoking Registration by Default (Default Order) in Animal Cloning Sciences, Inc. (n/k/a Bancorp Energy, Inc.), Admin. Proc. No. 3-14431. The Default Order finds that the Respondent failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rules 13a-1 and 13a-13 because it failed to make periodic filings with the Commission since filing a Form 10-Q for the period ended September 30, 2009. The Default Order, pursuant to Section 12(j) of the Exchange Act, revokes the registration of each class of Respondent’s registered securities. (Rel. 34-64986; File No. 3-14431) In the Matter of Otto Sam FolinOn July 29, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions against Otto Sam Folin, the managing director, chief compliance officer and 33% shareholder of Benchmark Asset Managers LLC, a registered investment adviser, and the president, chief executive officer and majority owner of Harvest Managers LLC, the parent company of Benchmark. The Order finds that Benchmark and Folin provided investment advice to clients for compensation, raised money from investors and advisory clients by offering and selling a variety of securities and managed and advised a group of hedge funds known as the Safe Haven Investment Portfolios LLC. The Order bars Folin from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization. BurntOn July 29, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions (Order) against Kenneth W. Burnt (Burnt). The Order finds that the Commission’s complaint alleged that from at least September 2009 through December 2010, Burnt was associated with unregistered investment advisers Perimeter Wealth Financial Services, Inc. (Perimeter Wealth) and KSB Financial, Inc. (KSB). Securities and Exchange Commission v. Kenneth W. Burnt, et al., Civil Action No. 1:10-cv-4121-AT (N.D. Ga. Dec. 20, 2010). Burnt serves as the CEO and CFO of Perimeter Wealth and the CFO of KSB. Burnt, through Perimeter Wealth and KSB, raised at least $4.5 million from more than 20 investors through the unregistered offering of securities in interests in a covered-call equities trading program. Burnt represented that 100% of investors’ funds would be placed into securities accounts that would generate revenues from the trading of covered-calls. Burnt, through Perimeter Wealth and KSB, guaranteed investors specified returns that varied between 8% and 12% per year, regardless of actual trading performance and further guaranteed all investors against any loss to their investment principal. Burnt was to be compensated based upon investment performance in an amount equal to the investor returns generated above the minimum guaranteed annual returns and only after such returns were generated. Despite these representations, Burnt withdrew investor funds for personal use prior to their earning the minimum guaranteed returns. The Commission filed a civil injunctive action based on violations of the registration and anti-fraud provisions and, on July 19, 2011, a final judgment was entered against Burnt, Perimeter Wealth, and KSB permanently enjoining them from future securities law violations. Based on the above, the Order bars Burnt from association with any broker, dealer, investment adviser, municipal securities dealer, municipal adviser, transfer agent, or nationally recognized statistical rating organization. Burnt consented to the issuance of the Order without admitting or denying any of the findings in the Order, except he admitted the entry of the injunction. (Rel. IA-3255; File No. 3-14493) In the Matter of Kenneth R. PayneOn July 29, 2011, the Commission issued an Order Making Findings and Imposing Remedial Sanctions (Order) against Kenneth R. Payne (Payne), age 62, currently residing at the Seagoville Federal Correctional Institution in Seagoville, Texas. The Order finds that Payne was the president and owner of now-defunct Heartland Financial Services, Inc. (Heartland), an unregistered entity that held itself out as a broker-dealer and insurance and estate-planning firm, and also a registered representative of Jonathan Roberts Financial Group, Inc., a broker-dealer which was then registered with the Commission. The Order also finds that the Commission’s complaint against Payne and others, filed in the United States District Court for the Southern District of Indiana, captioned Securities and Exchange Commission v. Payne, et al., Case No. 1:00-cv-01265, alleged that Payne, in connection with the sale of securities, misused and misappropriated investor funds, commingled investors’ funds in a common bank account and caused investors to be sent false trade confirmations and monthly statements purporting to verify the nature and amount of their investments. In the SEC’s civil action, the Court entered summary judgment liability against Payne, ruling that he violated the antifraud and registration provisions of the federal securities laws. The Court also entered a permanent injunction against Payne, enjoining him from future violations of the antifraud and registration provisions of the federal securities laws Based on the findings in the Order, the Commission issued the Order barring Payne from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization; and from participating in any offering of a penny stock, including: acting as a promoter, finder, consultant, agent or other person who engages in activities with a broker, dealer or issuer for purposes of the issuance or trading in any penny stock, or inducing or attempting to induce the purchase or sale of any penny stock. Payne consented to the entry of the Order without admitting or denying its findings, except admitting the SEC’s jurisdiction over him, the subject matter of the proceedings and the entry of summary judgment and permanent injunction orders against him in the SEC’s civil action. This Order resolves the proceedings that were instituted against Payne on March 11, 2011. (Rel. 34-64993; File No. 3-14294) Former CFO of Waste Management Ordered to Pay $2.5 MillionThe Securities and Exchange Commission announced today that on July 28, 2011, the United States District Court for the Northern District of Illinois entered an Amended Final Judgment against James E. Koenig, the former Chief Financial Officer of Waste Management Corporation, ordering that he pay $2.5 million in SEC v. James E. Koenig, 02 C 2180 (N.D. Ill. filed Mar. 26, 2002). Koenig was ordered to make an upfront payment of $1.25 million and to pay the remaining $1.25 million in regular installments over the next two years. The Commission’s complaint alleged that beginning in 1992 and continuing into 1997, Koenig and others engaged in a systematic scheme to falsify and misrepresent Waste Management’s financial results with profits being overstated by $1.7 billion. In June 2006, after an 11-week trial, a jury returned a verdict in the Commission’s favor against Koenig on all 60 violations charged, including securities fraud, falsifying company books and records, making false statements in filings with the Commission, lying to auditors, and aiding and abetting the company’s violations. On December 21, 2007, following a two-day bench trial on remedies, the district court entered a Final Judgment against Koenig that permanently barred him from acting as an officer or director of a public company, and enjoined him from violating, or aiding and abetting violations of, the antifraud, books and records, periodic reporting, and lying to auditors provisions of the federal securities laws. The judgment also required Koenig to pay disgorgement, prejudgment interest, and civil penalties. On February 26, 2009, the U.S. Court of Appeals for the Seventh Circuit affirmed all issues of liability and trial procedure, but remanded for further proceedings with respect to the monetary amount of the judgment. On November 23, 2009, the district court on remand reaffirmed its prior Final Judgment, and Koenig appealed. The Amended Final Judgment represents a compromise reached through mediation before the Seventh Circuit’s Settlement Conference Office while the case was on appeal. The permanent officer and director bar and injunction remain unchanged and in full force and effect.
