ENFORCEMENT PROCEEDINGS
SEC SETTLES WITH UNREGISTERED AUDITORS
On January 22, the Commission issued settled administrative orders
against eight auditors that improperly issued audit reports on the
financial statements of public companies while the audit firms were
not registered with the Public Company Accounting Oversight Board, as
required by Section 102(a) of the Sarbanes-Oxley Act of 2002. The
audit firms named in these orders are Carl S. Sanko, CPA; Frederick A.
Kaden & Co.; Halt, Buzas & Powell, Ltd.; and Story & Company, P.C. The
audit partners named in these orders are Frederick A. Kaden, CPA;
Wayne A. Powell, CPA; Steven R. Halt, CPA; and Brian L. Story, CPA.
The Commission had instituted contested administrative proceedings
against these auditors on Sept. 13, 2007, for their alleged violations
of Section 102(a).
Without admitting or denying the findings of the orders, each of the
audit firms consented to the entry of an order finding that it did not
possess the requisite qualifications to represent others and violated
Section 102(a), and barring it from appearing or practicing before the
SEC as an accountant for one year under Rule 102(e) of the
Commission's Rules of Practice. Additionally, Halt, Buzas & Powell,
Ltd. consented to the issuance of an order that it cease and desist
from committing or causing violations of Section 102(a), and requiring
it to disgorge audit fees that it received for the audit work.
Without admitting or denying the findings of the orders, each of the
audit partners consented to the entry of an order finding that he did
not possess the requisite qualifications to represent others and
censuring him under Rule 102(e). In addition, each of the audit
partners must notify the SEC staff in writing that he is associated
with a registered accounting firm prior to practicing before the
Commission as an independent accountant in the future. In the Matter

SEC SETTLES CHARGES AGAINST FORMER CEO OF MONSTER WORLDWIDE, INC. FOR
STOCK OPTION BACKDATING
The Commission today announced a settled enforcement action against
Andrew J. McKelvey, the former Chief Executive Officer of Monster
Worldwide, Inc., for his participation in a multi-year scheme to
secretly backdate stock options granted to Monster officers, directors
and employees.
Under the settlement, McKelvey will pay $275,989.72 in disgorgement
and prejudgment interest, will be barred from serving as an officer or
director of a public company, and will be enjoined from violations of
the anti-fraud, reporting and other provisions of the federal
securities laws. McKelvey agreed to the settlement without admitting
or denying the allegations in the complaint.
The Commission's complaint alleges that, beginning in 1997, McKelvey
and others backdated stock option grants to coincide with the dates of
low closing prices for the Company's common stock, resulting in grants
of in-the-money options to numerous individuals. McKelvey understood
that backdating options to coincide with low closing prices for
Monster stock without recognizing a compensation expense was contrary
to accounting rules and contrary to representations in Monster's SEC
filings.
McKelvey caused Monster to misrepresent in its periodic filings and
proxy statements filed with the Commission that all stock options were
granted at the fair market value of the stock on the date of the
award, when that was not the case. McKelvey also caused Monster to
file materially misstated financial statements with the Commission in
its Forms 10-K and 10-Q that did not recognize compensation expense
for the company's stock option grants, as required by generally
accepted accounting principles. As a result, Monster overstated its
aggregate pretax operating income by approximately $339.5 million, for
fiscal years 1997 through 2005. Although McKelvey did not receive
backdated options, he benefited from the scheme by granting backdated
options to four individuals that he personally employed, including
three pilots and a mechanic.
The settlement does not include a civil penalty due to overriding

INVESTMENT COMPANY ACT RELEASES
MORGAN STANLEY INVESTMENT MANAGEMENT INC., ET AL.
A notice has been issued giving interested persons until Feb. 12,
2008, to request a hearing on an application filed by Morgan Stanley
Investment Management Inc., et al. for an order under Sections 6(c)
and 17(b) of the Investment Company Act for an exemption from Section
17(a) of the Act. The order would permit certain registered investment
companies (Funds) to engage in principal transactions involving money
market instruments with a broker dealer that is an affiliated person

SELF-REGULATORY ORGANIZATIONS
IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES
A proposed rule change filed by NYSE Arca relating to the closing time
for options on ETFs (SR-NYSEArca-2008-10) has become effective under
Section 19(b)(3)(A) of the Securities Exchange Act of 1934.
Publication is expected in the Federal Register during the week of

A proposed rule change (SR-NYSE-2008-04) filed by the New York Stock
Exchange to implement a four-month pilot program to offer liquidity
takers a reduced transaction fee structure for certain bond trades
executed on the NYSE BondsSM system has become effective under Section
19(b)(3)(A) of the Securities Exchange Act of 1934. Publication is

PROPOSED RULE CHANGE
The Chicago Board Options Exchange filed a proposed rule change (SR-
CBOE-2007-96) and Amendment No. 1 thereto to amend the Quarterly
Option Series Pilot Program to permit the listing of additional series
pursuant to Rule 19b-4 under the Securities Exchange Act of 1934.
