ENFORCEMENT PROCEEDINGS
IN THE MATTER OF JAMES T. GARRETT, JR.
On January 3, the Commission issued an Order Instituting Public
Administrative Proceedings Pursuant to Section 15(b) of the Securities
Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions
against James T. Garrett, Jr. The Order finds that on June 15, 2007,
Garrett, the former president of Carolinas First Investments, Inc. of
Charlotte, N.C., pled guilty to nine counts of securities fraud in a
South Carolina criminal proceeding (State v. James T. Garrett, Jr.,
Case No. 2005-GS-47-31, S.C. Circuit Court of Charleston). Carolinas
First was a broker dealer registered with the Commission. Its
registration was withdrawn in January 2004. The counts to which
Garrett pled guilty alleged that he defrauded investors and obtained
money by means of materially false and misleading statements or
omissions.
Based on the above, the Order bars Garrett from association with any
broker or dealer. Garrett consented to the issuance of the Order
without admitting or denying any of the findings in the Order. (Rel.

IN THE MATTER OF VFINANCE INVESTMENTS, INC., NICHOLAS THOMPSON AND
RICHARD CAMPANELLA
On January 3, the Commission issued an Order Instituting
Administrative and Cease-and-Desist Proceedings Pursuant to Sections
15(b) and 21C of the Securities Exchange Act of 1934 against
registered broker-dealer vFinance Investments, Inc., based in Boca
Raton, Fla.; former vFinance branch manager Nicholas Thompson, 41, of
Kintnersville, Pa.; and vFinance President Richard Campanella, 56, of
Boca Raton, Fla.
The Division of Enforcement alleges in the Order that vFinance, as
well as Campanella and Thompson, failed to retain records and produce
them to the Commission staff. The action alleges that Thompson deleted
email and other documents from his computer after they were requested
as part of a Commission investigation. The action further alleges that
vFinance President Campanella, who at the time served as vFinance's
Chief Operating Officer and Chief Compliance Officer, was on notice
that vFinance was not retaining Thompson's business records and failed
to search for responsive documents at Thompson's branch office for 18
months despite repeated requests by the Commission staff.
The Division of Enforcement alleges that through its conduct, vFinance
willfully violated the document retention and production requirements
of Section 17(a) of the Securities Exchange Act of 1934 and Rules 17a-
4(b)(4) and 17a-4(j) thereunder, and that Thompson and Campanella
willfully aided and abetted and caused vFinance's violations.
An administrative hearing will be scheduled to determine whether the
allegations in the Order are true, and to provide vFinance, Thompson
and Campanella an opportunity to establish any defenses to the
allegations. The proceedings also will determine whether remedial
sanctions should be imposed. As directed by the Commission, the
administrative law judge shall issue an initial decision in this
matter no later than 300 days from the date of service of the Order.

FINAL JUDGMENT ENTERED AGAINST FORMER CFO OF WASTE MANAGEMENT, INC.
On January 3, the Securities and Exchange Commission announced that
the U.S. District Court for the Northern District of Illinois has
entered final judgment against James E. Koenig, the former CFO of
Waste Management, Inc., after a jury found that he committed 60
securities laws violations in a five-year period. The final judgment
follows an 11-week jury trial in 2006 that resulted in a verdict in
the SEC's favor against Koenig on all charges. The jury found Koenig
liable for securities fraud, falsifying company books and records,
lying to auditors, and aiding and abetting the company's violations.
The final judgment, entered on Dec. 21, 2007, followed a two-day bench
trial on remedies before U.S. District Court Judge Wayne R. Andersen,
and was based upon a Dec. 3, 2007, memorandum opinion and order that
set forth the Court's findings on remedies. See SEC v. Koenig, 2007 WL
4277439, N.D. Ill. Dec. 3, 2007. The final judgment permanently bars
Koenig from acting as an officer or director of a public company and
enjoins him from future violations of the antifraud and other
provisions of the federal securities laws. The judgment also requires
Koenig to pay more than $4 million, comprised of $831,500 in
disgorgement for Koenig's ill-gotten earnings-based performance
bonuses, $1,246,517 in prejudgment interest, and a $2,078,017 civil
penalty.
The Commission alleged in its complaint that, beginning in 1992 and
continuing into 1997, Koenig and others engaged in a systematic scheme
to falsify and misrepresent Waste Management's financial results with
profits being overstated by $1.7 billion. According to the complaint,
the scheme was accomplished through false and misleading disclosures
and a variety of non-GAAP accounting practices designed to defer
current period expenses whenever possible. All of these practices
boosted current period earnings by reducing current period expenses.
The fraud resulted in a restatement in February 1998, which at the
time was the largest restatement in history.
Previously, the Commission reached settlements with the company's
outside public accountants, Arthur Andersen, and four of its former
partners (Litigation Release No. 17039, June 19, 2001). Settlements
also were reached in litigation with the founder and four other top
officers of Waste Management (Litigation Release No. 19351, Aug. 29,
2005, and Litigation Release No. 18913, Sept. 30, 2004). [SEC v.
