COMMISSION ANNOUNCEMENTS
SEC SUSPENDS TRADING IN SECURITIES OF ROANOKE TECHNOLOGY, CORP.
The Commission announced the temporary suspension, pursuant to Section
12(k) of the Securities Exchange Act of 1934 (the Exchange Act), of
trading of the securities of Roanoke Technology, Corp. (Roanoke) of
Rocky Mount, North Carolina commencing at 9:30 a.m. EST on Thursday,
Dec. 6, 2007, and terminating at 11:59 p.m. EST on Wednesday, Dec. 19,
2007.
The Commission temporarily suspended trading in the securities of
Roanoke because Roanoke has failed to file certain periodic reports
with the Commission, resulting in a lack of current and accurate
information concerning the company.
The Commission cautions brokers, dealers, shareholders, and
prospective purchasers that they should carefully consider the
foregoing information along with all other currently available
information and any information subsequently issued by the company.
Brokers and dealers should be alert to the fact that, pursuant to Rule
15c2-11 under the Exchange Act, at the termination of the trading
suspension, no quotation may be entered unless and until they have
strictly complied with all of the provisions of the rule. If any
broker or dealer has any questions as to whether or not he has
complied with the rule, he should not enter any quotation but
immediately contact the staff in the Division of Market Regulation,
Office of Interpretation and Guidance, at (202) 551-5760. If any
broker or dealer is uncertain as to what is required by Rule 15c2-11,
he should refrain from entering quotations relating to Roanoke's
securities until such time as he has familiarized himself with the
rule and is certain that all of its provisions have been met. If any

action.

ENFORCEMENT PROCEEDINGS
IN THE MATTER OF PARK FINANCIAL GROUP, INC. AND GORDON C. CANTLEY
On December 5, the Commission issued, by consent, an Order
Making Findings and Imposing a Cease-and-Desist Order and Remedial
Sanctions Pursuant to Sections 15(b) and 21C of the Securities
Exchange Act of 1934 (Order) against Winter Park, Florida-based
broker-dealer Park Financial Group, Inc. (Park) and its principal,
Gordon C. Cantley.
The Order finds that from February 2002 to July 2003, Park and
Cantley aided and abetted and caused a fraudulent pump-and-dump
scheme involving the securities of Spear & Jackson, Inc. and failed
to file Suspicious Activity Reports (SARs) reporting suspicious
transactions that were part of the pump-and-dump. Park and Cantley
neither admitted nor denied the findings in the Order, which
marks the successful resolution of the Commission's first case
charging a broker-dealer with failing to fulfill its responsibility to
file SARS under the Bank Secrecy Act.
The Order finds that during the relevant time period,Park and
Cantley executed numerous trades in Spear & Jackson stock forthree
companies located in the British Virgin Islands (BVI Companies), which
then-Spear & Jackson CEO Dennis Crowley secretly controlled. The order
finds Cantley and Park executed these trades despite obvious red flags
that they were suspicious.
Specifically, the Order finds Cantley and Park executed trades in
the BVI Companies' accounts on oral instructions from Crowley,
even though: they knew he was Spear & Jackson's CEO; he was not
listed as an authorized signatory on any of the BVI Companies'
account documents; executing the trades on Crowley's
instructions violated both Park's written operating procedures
and the instructions of the BVI Companies requiring written approval
of at least two authorized signatories for any transaction; and the
BVI Companies' accounts traded exclusively in Spear & Jackson stock.
Moreover, at the same time, the BVI Companies were transferring large
amounts of Spear & Jackson stock to a stock promoter actively
touting Spear & Jackson, and Spear & Jackson's stock price was sharply
increasing.
The Order also finds Park, aided and abetted by Cantley,failed to
report suspicious transactions in Spear & Jackson stock by filing
SARs with the Financial Crimes Enforcement Network as required by
regulations implementing the Bank Secrecy Act, as amended by the USA
Patriot Act, which became effective December 31, 2002.
The Order directs Cantley to cease-and-desist from aiding and
abetting and causing violations and future violations of Sections
10(b) and 17(a) of the Securities Exchange Act of 1934 (Exchange Act)
and Rules 10b-5 and 17a-8 thereunder. The Order bars Cantley from
associating with any broker or dealer with the right to reapply for
association after two years. Cantley must pay $8,429.71 in
disgorgement and prejudgment interest, and a $25,000 civil penalty.
As to Park, the Order censures the firm, directs it to cease and
desist from aiding and abetting and causing violations and future
violations of Section 10(b) of the Exchange Act and Rule 10b-5
thereunder, and from committing or causing violations and future
violations of Section 17(a) of the Exchange Act and Rule 17a-8
thereunder. It also orders Park to pay $30,373.39 in disgorgement and
prejudgment interest, and a $50,000 civil penalty.
The Commission previously obtained significant relief against Crowley
in a civil injunctive action for violations of the antifraud,
registration and reporting provisions of the federal securities laws.
Pursuant to a settlement, the United States District Court for the
Southern District of Florida ordered Crowley to pay disgorgement and
civil penalties in excess of $6 million and imposed an officer-and-
director bar, a penny stock bar and a Form S-8 stock bar prohibiting
Crowley from owning or receiving S-8 issued securities. Crowley did
not admit or deny the Commission's allegations against him. (Rel. 34-

IN THE MATTER OF MARK MICHEL
On December 6,the Commission issued an Order Instituting Public
Administrative Proceedings Pursuant to Section 15(b) of the
Securities Exchange Act of 1934 (Order) against Mark Michel, a
registered representative employed at Wachovia Securities in
DeKalb, Illinois. The Order is based on the entry of a permanent
injunction against Michel's future violations of Section 10(b) of
the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5
stemming from findings by a United States District Judge that he
engaged in insider trading.
The Division of Enforcement alleges in the Order that Michel bought
$1.4 million of stock for himself, his relatives, and his
customers in Blue Rhino Corp., a North Carolina propane gas
distributor, between Jan. 30, 2004, and Feb. 6, 2004, while knowing
that Blue Rhino was engaged in merger negotiations. The merger was
publicly announced on Feb. 9, 2004.
The Division also alleges that following a five-day bench trial in
October 2007, the judge found the Commission had proved the
allegations of its complaint and that Michel's actions violated
Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. The Court
entered a permanent injunction against Michel and ordered him to pay
disgorgement of $277,881 and pre-judgment interest of $68,307.
A hearing will be scheduled before an administrative law judge
to determine whether the allegations contained in the Order are true,
to provide the Respondent an opportunity to dispute these
allegations, and to determine what, if any, remedial sanctions are
appropriate and in the public interest. The Order requires the
Administrative Law Judge to issue an initial decision no later
than 210 days from the date of service of the Order. (Rel. 34-

JUDGMENTS OF PERMANENT INJUNCTION AND OTHER RELIEF ENTERED AGAINST
DEFENDANTS FRANCES M. LABARRE AND JOSEPH YURKIN
The Commission announced that on Nov. 19, 2007, the U.S. District
Court for the Southern District of Florida entered Judgments of
Permanent Injunction and Other Relief against Defendants Frances M.
LaBarre and Joseph Yurkin. The Judgments, entered with the consents of
LaBarre and Yurkin, without admitting or denying the Complaint's
allegations, enjoin them from violations of Sections 5(a), 5(c) and
17(a) of the Securities Act of 1933 and Section 10(b) and Rule 10b-5
of the Securities Exchange Act of 1934. The Judgments permanently bar
LaBarre and Yurkin from participating in a penny stock offering.
Additionally, the Judgments provide for disgorgement and the
imposition of civil penalties in amounts to be determined by the Court
upon the Commission's motion.
The Commission commenced this action by filing its complaint on Sept.
5, 2007, against LaBarre and Yurkin, among others, alleging the
defendants violated the registration and antifraud provisions of the

JURY FINDS ATTORNEY AND HIS FATHER LIABLE FOR COMMITTING INSIDER
TRADING
On December 3, a jury in Manhattan federal court returned a verdict in
favor of the Commission finding a Long Island attorney and his father
liable for insider trading in the stock of NBTY, Inc. In the action
SEC v. Mitchell Drucker et al, 06 Civ. 1644 (SDNY) (CM), the
defendants are Mitchell S. Drucker, the former associate general
counsel of NBTY, a nutritional supplements manufacturer and retailer,
and his father, Ronald Drucker, a former New York City police
detective. The Commission had charged that, while Mitchell Drucker was
a lawyer at NBTY, and had learned that NBTY was about to announce
lower than expected quarterly earnings, he and his father sold their
holdings of NBTY stock just before the negative announcement.
Collectively, the defendants avoided $197,243 in losses by selling in
advance of the announcement.
U.S. District Judge Colleen McMahon, who presided over the trial, will
determine the sanctions to be imposed against the defendants. The
Commission is seeking a judgment requiring the defendants to pay
disgorgement equal to their avoided losses plus penalties up to three
times the amount of disgorgement, injunctions and, against Mitchell
Drucker, an officer and director bar.
Mitchell Drucker, age 38, is a resident of Saint James, New York.
Ronald Drucker, age 63 is a resident of Mount Sinai, New York.
The Commission charged that on Oct. 18, 2001, Mitchell Drucker
directed the sale of his entire holdings of NBTY stock, consisting of
25,700 shares, after learning material, non-public information that
NBTY's fourth quarter earnings per share (EPS) would be about 50
percent lower than analysts' expectations. The day after Mitchell
Drucker's sales, NBTY publicly announced, through a press release,
that its fourth quarter EPS would be significantly lower than
analysts' expectations. After NBTY's earnings news became public, the
price of NBTY shares fell by 41%.
The Commission also charged that just after Mitchell Drucker began
selling his stock, on Oct. 18, 2001, he engaged in a series of
telephone calls with Ronald Drucker in which Mitchell Drucker conveyed
the material non-public information regarding NBTY's fourth quarter
EPS results. As a result of this tip, Ronald Drucker also sold his
entire holdings of NBTY stock, consisting of 10,000 shares, on Oct.
18, 2001. Furthermore, while Mitchell Drucker was placing his own
trades on Oct. 18, 2001, he also directed the sale of the entire NBTY
holdings of his friend, relief defendant William Minerva, which
consisted of 1,575 shares.
By trading in advance of the public release of NBTY's fourth quarter
EPS, Mitchell Drucker, Ronald Drucker, and Minerva avoided losses of
$138,174, $51,116, and $7,953, respectively.
The jury found that defendants Mitchell Drucker and Ronald Drucker
each violated Section 17(a) of the Securities Act of 1933 and Section
10(b) of the Securities Exchange Act of 1934 and Rule 10b-5
thereunder. Judge McMahon will make the determination as to the relief
that should be imposed against the defendants and relief defendant.
The Commission seeks an order permanently enjoining the defendants
from violations of the above provisions of the federal securities
laws, requiring disgorgement of losses avoided, plus prejudgment
interest thereon, and imposing civil penalties pursuant to Section 21A
of the Exchange Act. The Commission also seeks an order barring
Mitchell Drucker from acting as an officer or director of a public
company. In addition, the Commission seeks disgorgement plus
prejudgment interest from Minerva, as a relief defendant, for the
losses Minerva avoided when Mitchell Drucker sold Minerva's NBTY

SEC v. SIDNEY MONDSCHEIN AND UNCI, INC.
In a complaint filed today in the U.S. District Court for the Northern
District of California, the SEC alleged that from December 2002
through August 2005, former Castro Valley, Calif., stockbroker Sidney
Mondschein reaped illegal profits by secretly selling the names and
other confidential personal information of over 500 of his customers
to six different insurance agents. According to the complaint,
Mondschein sold this information as sales "leads" solely to enable
insurance agents to solicit these customers, many of whom had already
purchased fixed or equity-indexed annuity products, to buy additional
annuity products.
The complaint alleges that Mondschein never disclosed to any of these
customers that he intended to sell, and did sell, their confidential
personal information to insurance agents, and further alleges that he
affirmatively misled his clients as to the nature of his compensation
arrangements and relationships with the various insurance agents.
According to the complaint, virtually all of Mondschein's customers
were senior citizens.
The Commission's complaint alleges that Mondschein committed
securities fraud in violation of Section 10(b) of the Securities and
Exchange Act of 1934 and Exchange Act Rule 10b-5. The complaint also
alleges that Mondschein aided and abetted his broker-dealer firm's
violations of certain of the customer privacy provisions of the
federal securities laws, namely Rules 4(a), 5(a), and 10(a)(1) of
Regulation S-P. The Commission's complaint seeks a judgment
permanently enjoining Mondschein from violating these provisions of
the securities laws, and ordering Mondschein to pay civil penalties
and provide an accounting of, and disgorge, his ill-gotten gains with
prejudgment interest. The Commission also seeks a judgment that Relief
Defendant UNCI is in possession of illegally obtained funds to which
