COMMISSION ANNOUNCEMENTS
SEC SUSPENDS TRADING IN TERAX SECURITIES
The Commission announced the temporary suspension of trading of the
securities of Terax Energy, Inc. (Terax, trading symbol TEXG.OB) of
Dallas, Texas, commencing at 9:30 a.m. EDT on Sept. 12, 2007, and
terminating at 11:59 p.m. EDT on Sept. 26, 2007.
The Commission temporarily suspended trading in the securities of
Terax because of questions that have been raised about the accuracy
and adequacy of publicly disseminated information concerning, among
other things: (1) the status of Terax's oil and gas operations, (2)
Terax's purported financing agreements, (3) Terax's supposed
acquisition of a controlling interest in a foreign oil and gas firm,
(4) the existence, terms and status of a purported share exchange
agreement between Terax and Westar Oil, Inc., and (5) the identity of
the persons in control of the operations and management of Terax.
The Commission cautions brokers, dealers, shareholders, and
prospective purchasers that they should carefully consider the
foregoing information along with all other currently available
information and any information subsequently issued by the company.
Brokers and dealers should be alert to the fact that, pursuant to Rule
15c2-11 under the Securities Exchange Act of 1934, at the termination
of the trading suspension, no quotation may be entered unless and
until they have strictly complied with all of the provisions of the
rule. If any broker or dealer has any questions as to whether or not
he has complied with the rule, he should not enter any quotation but
immediately contact the staff in the Division of Market Regulation,
Office of Interpretation and Guidance, at (202) 551-5760. If any
broker or dealer is uncertain as to what is required by Rule 15c2-11,
he should refrain from entering quotations relating to Terax
securities until such time as he has familiarized himself with the
rule and is certain that all of its provisions have been met. If any

rule, the Commission will consider the need for prompt enforcement
action.

SEC ANNOUNCES FINAL DISBURSEMENT TO INVESTORS FROM $267 MILLION
PILGRIM BAXTER FAIR FUND
On September 12, the Commission announced the distribution of,
approximately, $69 million to an additional group of investors who
were harmed by fraudulent market timing in the PBHG Funds between June
1998 and December 2001. This distribution is the last in a series of
three disbursements from a Fair Fund that provided a total of
approximately $267 million to more than 384,000 affected account
holders in the PBHG Funds. The first and second disbursements occurred
on April 23, 2007, and June 13, 2007, respectively. The Fair Fund
resulted from Commission enforcement actions charging unlawful market
timing in the PBHG Funds by Pilgrim Baxter & Associates, Ltd. (PBA),
Gary L. Pilgrim, and Harold J. Baxter. In 2004, the Commission brought
and settled public administrative and cease-and-desist proceedings
against PBA, which consented to a Commission Order charging antifraud
violations without admitting or denying the Commission's findings. The
Commission ordered PBA to pay $40 million in disgorgement and $50
million in penalties. The Commission later settled administrative and
cease-and-desist proceedings against PBA's two former principals,
Pilgrim and Baxter, who also consented to Commission Orders charging
antifraud violations without admitting or denying the Commission's
findings. The Commission ordered them to each pay $60 million in
disgorgement and $20 million in penalties for distribution through the

OPEN MEETING - WEDNESDAY, SEPTEMBER 19, 2007 - 10:00 A.M.
The subject matter of the open meeting scheduled for Wednesday,
September 19, at will be:
1. The Commission will consider whether to adopt, jointly with the
Board of Governors of the Federal Reserve System, new rules under the
Securities Exchange Act of 1934 (Exchange Act) to implement the Gramm-
Leach-Bliley Act bank exceptions to the definition of "broker." In
addition, the Commission will consider whether to adopt additional
related rules and rule amendments, including rules exempting banks
from the definition of "dealer" under the Exchange Act.
2. The Commission will consider whether to adopt, on an interim final
basis, a temporary rule that would provide investment advisers who
also are registered broker-dealers an alternative means of compliance
with the principal trading restrictions of Section 206(3) of the
Investment Advisers Act.
The Commission will also consider whether to propose an interpretive
rule under the Investment Advisers Act that would clarify the
application of the Advisers Act to certain activities of broker-
dealers.

SEMIANNUAL REGULATORY AGENDA
The Commission has authorized the publication of its Fall 2007

public until its publication, has been submitted by the Commission to
the Regulatory Information Service Center for inclusion in the Unified
Agenda of Federal Regulations scheduled for publication in the Federal

IN THE MATTER OF JAMES J. PEPERNO, JR.
On September 11, the Commission issued an Order Instituting
Administrative Proceedings Pursuant to Section 203(f) of the
Investment Advisers Act of 1940, Making Findings, and Imposing
Remedial Sanctions (Order) against James J. Peperno, Jr. The Order
finds that Peperno was an unregistered investment adviser and
associated person of JJP Consulting, Ltd., of Old Forge, Pennsylvania.
The Order further finds that, on June 7, 2007, the United States
District Court for the Middle District of Pennsylvania convicted
Peperno, based on his guilty plea, of one count of mail fraud in
connection with a scheme to defraud his investor clients.
Based on the above, the Order bars Peperno from association with any
investment adviser. Peperno consented to the issuance of the Order
without admitting or denying the findings in the Order, except as to

IN THE MATTER OF DAVID HEYMAN, CPA
On September 12, the Commission issued an Order of Suspension Pursuant
to Rule 102(e)(2) of the Commission's Rules of Practice (Order)
against David Heyman. The Order finds that on July 31, 2007, a
judgment of conviction was entered against David Heyman, a certified
public accountant licensed in New York, in United States v. Zvi
Rosenthal, No. 07-CR-69-03 (JG), in the United States District Court
for the Eastern District of New York, finding him guilty of one count
of conspiracy to commit securities fraud. Heyman was sentenced to
fifteen months' imprisonment in a federal penitentiary. The Commission
finds that Heyman has been convicted of a felony within the meaning of
Rule 102(e)(2) of the Commission's Rules of Practice.
Based on the above, the Order forthwith suspends David Heyman from
appearing or practicing before the Commission pursuant to Rule
102(e)(2) of the Commission's Rules of Practice. (Rel. 34-56395; AAE

SEC CHARGES COMPANY AND SALESPEOPLE IN FRAUDULENT $50 MILLION REAL
ESTATE INVESTMENT SCHEME
On September 6, the Commission filed civil securities fraud charges
against a real estate company, its president, two boiler-room
operators, and four salesmen for conducting a fraudulent $50 million
real estate investment scheme.
The Commission's complaint names as defendants Real Estate Partners,
Inc. (REP), based in Irvine, Calif.; the seven funds REP set up for
the real estate investments; REP's president, Dawson Davenport, age
51, of Lake Forest, Calif.; boiler room operators Michael P. Owens,
age 43, of Newport Coast, Calif., and Donald G. Ryan, age 42, of
Irvine, Calif,; and salesmen Richard McGill, age 58, of Laguna Niguel,
Calif., William L. Sanders, age 56, of Norco, Calif., Michael Tuchman,
age 38, of Irvine, Calif., and Danny Rayburn, age 47, of Westminster,
Calif.
The Commission's complaint, filed in U.S. District Court in Orange
County, alleges that, between January 2003 and August 2006, the
defendants raised $50 million from over 1600 investors nationwide by
selling security interests in a series of seven offerings. The
Commission's complaint alleges that REP, its related funds, Davenport,
Owens, and Ryan made several key misrepresentations to investors in
the course of the fund offerings. First, the complaint alleges that
these defendants misrepresented how REP would use investor funds,
failing to disclose to investors that they spent over $26 million, or
52% of the money raised, on commissions to salespeople, including
$10.9 million to two companies controlled by Owens and $3 million to a
company controlled by Ryan.
The complaint further alleges that REP was running a Ponzi-like
scheme. Specifically, the complaint alleges that REP paid investors
annual dividends using money obtained from other investors. The
complaint also alleges that the defendants falsely claimed that
Coldwell Banker was associated with the funds, when, in actuality,
Coldwell Banker had nothing to do with the fund offerings. Finally,
the complaint alleges that the defendants enticed investors with
baseless promises of high rates of return on their investments, and
dangled the unlikely possibility of conducting a public offering by
converting the funds and REP into a publicly-traded real estate
investment trust.
The Commission's complaint alleges that REP, the funds, Davenport,
Owens, Ryan, McGill, Sanders, Tuchman, and Rayburn violated the
securities registration provisions of Sections 5(a) and 5(c) of the
Securities Act of 1933. The complaint also alleges that REP, the
funds, Davenport, Owens, and Ryan violated the antifraud provisions of
Section 17(a) of the Securities Act and Section 10(b) of the
Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The
complaint further alleges that Owens, Ryan, McGill, Sanders, Tuchman,
and Rayburn violated the broker-dealer registration requirement of
Section 15(a) of the Exchange Act. The Commission seeks permanent
injunctions, disgorgement with prejudgment interest, and civil
penalties against each of the individual defendants, as well as the

SEC CHARGES FOUR ADDITIONAL FORMER OFFICERS OF NORTEL NETWORKS
CORPORATION IN FINANCIAL FRAUD SCHEME
The Commission today charged four more former officers of Nortel
Networks Corporation with engaging in accounting fraud by manipulating
reserves to manage Nortel's earnings. The Commission filed an amended
complaint in SEC v. Dunn, a case pending in the U.S. District Court
for the Southern District of New York, to add as defendants Douglas A.
Hamilton, Craig A. Johnson, James B. Kinney and Kenneth R.W. Taylor,
who were the former vice presidents of finance for Nortel's Optical,
Wireline, Wireless and Enterprise business units, respectively. The
Commission's original complaint, among other things, charged three
former corporate officers of Nortel - CEO Frank Dunn, CFO Douglas
Beatty and Controller Michael Gollogly - with directing the earnings
management fraud.
The amended complaint charges Hamilton, Johnson, Kinney and Taylor
with violating and/or aiding and abetting violations of the antifraud,
reporting, books and records and internal controls provisions of the
federal securities laws. The Commission seeks a permanent injunction,
a civil monetary penalty, an officer and director bar, and
disgorgement with prejudgment interest against each of these
defendants.
In its original complaint, filed on March 12, 2007, the Commission
alleged that (1) Dunn, Beatty and Gollogly learned that the Company
was carrying massive amounts of excess reserves and then directed the
alleged reserve manipulations to meet earnings targets, fabricate
profits and pay performance-related bonuses, and also (2) that Dunn,
Beatty and former Assistant Controller MaryAnne Pahapill altered
Nortel's revenue recognition policies from late 2000 through January
2001 to accelerate revenue to meet publicly announced revenue targets.

SEC CHARGES SMART ONLINE, ITS PRESIDENT AND CEO DENNIS MICHAEL NOURI,
AND FIVE OTHER INDIVIUDALS IN CONNECTION WITH A BROKER- BRIBERY SCHEME
The Commission announced today that it filed a civil injunctive action
against Smart Online, its CEO and president, Dennis Michael Nouri
(Michael Nouri), Michael Nouri's brother, Reeza Eric Nouri ("Eric
Nouri"), and four brokers, alleging that Michael and Eric Nouri paid
cash bribes to the brokers to sell Smart Online stock to create volume
and demand for the Smart Online's stock.
The complaint alleges that Smart Online stock began trading publicly
on the OTC Bulletin Board in April 2005. Defendant Michael Nouri, the
CEO of Smart Online, sought to qualify the company for listing on the
NASDAQ by increasing the number of shareholders and trading volume of
Smart Online stock. In order to do so, Michael Nouri began paying
bribes to stock brokers, including defendants Anthony Martin, James
Doolan, Ruben Serrano, and Alain Lustig, to solicit customers to
purchase Smart Online stock.
The complaint alleges that between May 2005 and January 2006, Michael
Nouri paid over $170,000 to brokers who sold more than 267,000 shares
of Smart Online stock (or approximately 10% of the trading volume
during the period) to investors. The complaint also alleges Eric
Nouri, an employee of Smart Online, also negotiated bribe payments
with a broker to solicit purchases of stock at various amounts and
prices. Michael Nouri concealed the bribes as "consulting fees" paid
pursuant to sham consulting agreements. The complaint further alleges
that the brokers did not disclose to their customers that they were
receiving bribes to sell Smart Online stock, and that Michael Nouri
understood that the brokers were concealing the bribes from their
customers.
By late 2005, Smart Online had qualified for listing on the NASDAQ. On
Jan. 17, 2006, the day that Smart Online was scheduled to begin
trading on the NASDAQ, the Commission suspended trading of the stock.
Smart Online stock did not trade on the NASDAQ.
The complaint charges the defendants with violating Section 17(a) of
the Securities Act of 1933, and Section 10(b) of the Securities
Exchange Act of 1934 and Rule 10b-5 thereunder. In its enforcement
action, the Commission is seeking an order permanently enjoining the
defendants from committing future violations of the foregoing federal
securities laws and a final judgment ordering the individual
defendants to disgorge their ill-gotten gains and to pay civil
penalties. The Commission is also seeking an order permanently baring
Michael Nouri from serving as an officer or director of a public
company.

IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES
A proposed rule change filed by the American Stock Exchange relating
