ENFORCEMENT PROCEEDINGS
IN THE MATTER OF JAY BOLDING, CPA
On July 17, the Commission issued an Order Instituting Administrative
Proceedings Pursuant to Rule 102(e) of the Commission's Rules of
Practice, Making Findings, and Imposing Remedial Sanctions (Order)
against Jay Bolding (Bolding), a certified public accountant whose
licenses to practice in Kansas and Tennessee has lapsed. Bolding
served as corporate comptroller to ConAgra Foods, Inc. (ConAgra) from
March 1999 until approximately April 2004.
On July 6, a Final Judgment signed by Judge Richard P. Matsch was
entered in the U.S. District Court for Colorado, which permanently
enjoins Bolding, by consent, from future violations of Securities
Exchange Act of 1934 (Exchange Act) Rule 13b-2-1, and from aiding and
abetting violations of Sections 13(a), 13(b)(2)(A) and 13b(2)(B) of
the Exchange Act and Exchange Act Rules 12b-20, 13a-1 and 13a-13. The
Court ordered the injunction based on allegations in the Commission's
complaint in the matter of Securities and Exchange Commission v. James
P. O'Donnell, et al., (U.S. District Court for Colorado, Civil Action
No. 07-cv-01373-RPM-MJW, filed June 29, 2007). The Commission's
complaint alleged, among other things, that Bolding directed ConAgra's
improper accounting for excess reserves in fiscal year 2000, that he
knew, or should have known, about ConAgra's improper accounting for
excess reserves in fiscal year 2001, that he did not ensure that
ConAgra properly accounted for its income tax expense in fiscal year
1999 and that he should have known that ConAgra's disclosure in note
14 to the financial statements regarding the reduction of it income
tax expense in its Form 10-K for fiscal year 1999 was inaccurate. The
complaint further alleged that Bolding was aware of improper
accounting practices at United Agri Products, a subsidiary of ConAgra,
involving the improper recognition of revenue and the failure to
record adequate bad debt expense in fiscal year 2000. As a result of
the improper accounting, which was not in accordance with GAAP,
certain of ConAgra's filings with the Commission between 1999 and the
third quarter of fiscal year 2001 were materially false and misleading
because they overstated ConAgra's reported income before income taxes,
net income and earnings per share. Additionally, ConAgra's
registration statement related it its proposed merger with
International Home Foods, Inc., filed on Forms S-4 and S-4/A in June
and July of 2000, respectively, were materially false and misleading.
Based on the Court's entry of an injunction against Bolding, the
Commission ordered that Bolding is suspended from appearing or
practicing before the Commission as an accountant with the right to
seek reinstatement after one year. Bolding consented to the issuance
of the Order without admitting or denying any of the findings in the
Order except as to the Commission's jurisdiction over him, the subject
matter of the Proceedings, and the fact that the federal court entered

SEC INSTITUTES SETTLED CEASE-AND-DESIST PROCEEDINGS AGAINST SOFTWARE
COMPANY AND TWO INDIVIDUALS FOR REVENUE RECOGNITION
On July 17, the Commission issued a settled cease-and-desist order
against Quovadx, Inc., a software company headquartered in Colorado,
for fraudulent revenue recognition. The Commission also issued settled
cease-and-desist proceedings against Ronald Renjilian, one of
Quovadx's sales persons, and Paul Davis, the principal of one of the
customers that had entered into improper transactions with Quovadx.
The Commission issued an Order Instituting Cease-and-Desist
Proceedings, Making Findings, and Imposing a Cease-and-Desist Order
Pursuant to Section 8A of the Securities Act of 1933 and Section 21C
of the Securities Exchange Act of 1934 against Quovadx, Inc. (the
Quovadx Order). The Quovadx Order finds that, between 2002 and 2003,
Quovadx improperly recognized over $12 million in revenue from
software licensing deals with four of its customers. As a result,
Quovadx materially overstated its software licensing revenues in its
quarterly reports by amounts ranging from 10% in the third quarter of
2002 to nearly 180% by the third and fourth quarters of 2003. Quovadx
has been ordered to cease and desist from committing or causing any
violations and any future violations of Section 17(a) of the
Securities Act and Sections 10(b), 13(a), 13(b)(2)(A) and 13(b)(2)(B)
of the Exchange Act and Rules 10b-5, 12b-20, 13a-1, 13a-11, and 13a-13
thereunder. Quovadx consented to the issuance of the order without
admitting or denying any of the findings, except as to the
Commission's jurisdiction over it and the subject matter of these
proceedings, which are admitted.
The Commission also issued an Order Instituting Cease-and-Desist
Proceedings, Making Findings, and Imposing a Cease-and-Desist Order
Pursuant to Section 21C of the Securities Exchange Act of 1934 against
Ronald Renjilian (the Renjilian Order). The Renjilian Order finds that
Renjilian, the former Head of Emerging Market Sales at Quovadx, was a
cause of Quovadx's reporting violations involving transactions with
two of the customers. Renjilian has been ordered to cease and desist
from causing any violations and any future violations of Section 13(a)
of the Exchange Act and Rules 12b-20, 13a-1, 13a-11, and 13a-13
thereunder. Renjilian consented to the issuance of the order without
admitting or denying any of the findings, except as to the
Commission's jurisdiction over it and the subject matter of these
proceedings, which are admitted.
The Commission also issued an Order Instituting Cease-and-Desist
Proceedings, Making Findings, and Imposing a Cease-and-Desist Order
Pursuant to Section 21C of the Securities Exchange Act of 1934 against
Paul Davis (the Davis Order). The Davis Order finds that Davis, the
principal of one of the customers involved, was a cause of Quovadx's
reporting violations in connection with that customer. Based on the
above, Davis has been ordered to cease and desist from causing any
violations and any future violations of Section 13(a) of the Exchange
Act and Rules 12b-20, 13a-11, and 13a-13 thereunder. Davis consented
to the issuance of the order without admitting or denying any of the
findings, except as to the Commission's jurisdiction over it and the
subject matter of these proceedings, which are admitted.
In related proceedings, the Commission filed a complaint against
Quovadx's former President and CEO and its former CFO, and also filed
settled injunctive actions against the former Controller of Quovadx,
its former Executive Vice-President of Sales, and the principals of

SEC SETTLES CIVIL INJUNCTIVE ACTION AGAINST SERIAL SPAMMER SAMUEL
AARON MELTZER
On July 16, a consent and final judgment against Samuel Aaron Meltzer
was entered by the U.S. District Court for the Eastern District of New
York. Meltzer was charged in a previously-filed action with securities
fraud in connection with his stock-related spamming activities.
Meltzer consented to the entry of the final judgment, without
admitting or denying the allegations of the Commission's complaint,
except as to jurisdiction.
The complaint, filed Feb. 18, 2003, alleged that Meltzer, a
professional Internet spammer, used the Internet to commit securities
fraud. In return for compensation from stock promoters and issuers,
Meltzer sent millions of unsolicited emails and created numerous
websites to promote various penny stocks. The SEC's complaint alleged
that Meltzer's spam and websites made false and misleading
representations about the stock he helped to promote. Between 1998 and
2001, Meltzer touted the stocks of at least twelve issuers and
received at nearly $160,000 in stock and cash as ill-gotten gains as a
result of his fraudulent conduct.
The final judgment against Meltzer permanently enjoins Meltzer from
violating the antifraud provisions of the federal securities laws,
Section 17(a) of the Securities Act of 1933, Section 10(b) of the
Securities Exchange Act of 1934 (Exchange Act), and Exchange Act Rule
10b-5. The judgment also imposes a penny stock bar against Meltzer. In
addition, Meltzer was ordered to pay disgorgement in the amount of
$159,619.62 with prejudgment interest in the amount of 89,045.70, for
a total of $248,665.32, but payment was waived for the amount
exceeding $25,000, and civil penalties were not imposed, based on
Meltzer's sworn representations regarding his financial condition.

SEC FILES SETTLED ACCOUNTING FRAUD CHARGES AGAINST THE FORMER CFO AND
FORMER CONTROLLER OF OM GROUP, INC. AND FORMER CONTROLLER OF OMG
AMERICAS AND ALSO FILES SETTLED CEASE-AND-DESIST PROCEEDINGS AGAINST
OM GROUP, INC.
On July 18, the Commission filed civil fraud charges in the U.S.
District Court for the District of Columbia against James Materna, the
former chief financial officer of OM Group, John Holtzhauser, the
former controller of OM Group, and Paul Venesky, the former controller
of OMG Americas, a subsidiary. According to the complaint, Materna and
Holtzhauser engaged in accounting fraud by recording and directing
numerous adjustments to the consolidated financials (top-side
adjustments), which were wholly unsupported and often duplicative of
entries already recorded at the operating unit level. The complaint
alleges that Venesky made improper accounting entries at OMG Americas.
According to the complaint, the improper accounting practices were
done with the intent to manage earnings. The scheme resulted in the
filing of materially false and misleading financial statements in the
company's annual report on Form 10-K for the fiscal years ended Dec.
31, 2001 and Dec. 31, 2002, and in the company's quarterly reports on
Form 10-Q for the first three quarters of 2002, and the fourth quarter
results on Form 10-K, and the first three quarters of 2003 filed on
Form 10-Q. In March 2005, after conducting an internal investigation,
OM Group issued a restatement reducing its retained earnings for the
relevant period by $64 million as a result of the fraud. The
Commission's complaint charges Materna and Holtzhauser with violating,
among others, the antifraud provisions of the federal securities laws.
The Commission's complaint charges Venesky with aiding and abetting
violations of the antifraud provisions, among others. On July 18,
2007, the Commission issued a settled cease-and-desist order that
finds that OM Group violated the antifraud, reporting, books and
records, and internal controls provisions. OM Group produces value-
added, metal based specialty chemicals and related materials.
According to the Commission's complaint, at the end of each quarter
and fiscal year, OM Group consolidated the financial statements of its
operating entities into one consolidated financial statement, which
was reported on OM Group's Forms 10-K and 10-Q. During the close
process, Holtzhauser and Materna made more than 700 top-side
adjustments to OM Group's consolidated financial statement. The
adjustments were across the divisions and the support for the
adjustments was either inadequate or did not exist. Many of the
improper accounting practices included, among other things,
overcapitalizing overhead costs, inflated inventory recovery yields,
improper supplier receivables and interest receivables, duplicating
entries already made at the operating unit level, recording inaccurate
inventory estimates, and recording expenses out of period. Venesky,
the Controller of OMG Americas, was responsible for consolidating OMG
Americas' financial results. Venesky used inaccurate estimates to
record inventory. More often than not, Venesky's estimates increased
following feedback from Holtzhauser and Materna.
E-mails reflect the intent to adjust numbers to meet earnings targets
or to enhance OM Group's performance. E-mails also show that there was
a concerted effort by Materna, Holtzhauser, and Venesky to conceal
material information from auditors. In one e-mail, Venesky wrote to
Materna and Holtzhauser that "My concern about inventory is that going
too heavy in WIP [work-in-process] or others will trigger even greater
scrutiny. Truth is, we have a fresh set of auditors, and I have no
idea how much conversational auditing this group will takeā¦." The
documents also reflect a pattern of recording almost random round
numbers to journal entries to try to manage earnings, and to look for
"other candidates," i.e., other accounting categories in which to make
more adjustments. In addition, certain journal entries were made at
locations that auditors would not likely visit during audits. During
the relevant period, OM Group did not have an adequate system of
internal controls that would detect and prevent the improper
accounting practices.
Materna and Holtzhauser, without admitting or denying the allegations
in the Commission's complaint, each consented to the entry of a final
judgment permanently enjoining each from violating Section 17(a) of
the Securities Act, and Sections 10(b) and 13(b)(5) of the Exchange
Act and Rules 10b-5, 13b2-1, and 13b2-2 thereunder, and aiding and
abetting violations of Sections 13(a), 13(b)(2)(A), and 13(b)(2)(B) of
the Exchange Act and Rules 12b-20, 13a-1, 13a-11, and 13a-13
thereunder; imposes a $100,000 civil penalty; and a five-year officer-
and-director bar; and consented to the issuance of an order imposing a
five-year 102(e) suspension. Holtzhauser will also pay disgorgement of
$76,707. Venesky, without admitting or denying the allegations in the
Commission's complaint, consented to the entry of a final judgment
permanently enjoining him from aiding and abetting violations of
Section 10(b), 13(a), 13(b)(2)(A), 13(b)(2)(B), and 13(b)(5) of the
Exchange Act and Rules 10b-5, 12b-20, 13a-1, 13a-11, and 13a-13
thereunder, and violating Rules 13b2-1 and 13b2-2 thereunder, and
imposing a $25,000 civil penalty; and consented to the issuance of an
order imposing a three-year 102(e) suspension. OM Group consented,
without admitting or denying the findings by the Commission, to an
order to cease-and-desist from committing any future violations of
Section 17(a) of the Securities Act and Sections 10(b), 13(a),
13(b)(2)(A), and 13(b)(2)(B) of the Exchange Act, and Rules 10b-5,
12b-20, 13a-1, 13a-11, and 13a-13 thereunder.
