SEC NEWS DIGEST Issue 2006-128 July 5, 2006 COMMISSION ANNOUNCEMENTS SEC SUSPENDS TRADING IN THE SECURITIES OF ADZONE RESEARCH, INC. The Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act), of trading in the securities of AdZone Research, Inc. (AdZone), a Nevada corporation headquartered in Toronto, Ontario, at 9:30 a.m. EDT on July 5, 2006, and terminating at 11:59 p.m. EDT on July 18, 2006. The Commission temporarily suspended trading in the securities of AdZone because questions have arisen about the accuracy of assertions by AdZone, and by others, in press releases and internet postings to investors, concerning, among other things: (1) the company's contracts with two non-profit organizations, (2) the nature and extent of the orders that the company has received for the sale of licenses of its software products, and (3) the company's recent contributions to its employee Incentive Stock Plan. AdZone's common stock is quoted on the OTC Bulletin Board under the symbol "ADZR." The Commission cautions brokers, dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. Publication is expected in the Federal Register during the week of July 3. (Rel. 34-54085) ENFORCEMENT PROCEEDINGS COMMISSION REVOKES REGISTRATION OF SECURITIES OF EAGLETECH COMMUNICATIONS INC. FOR FAILURE TO FILE MANDATORY REPORTS The Commission has revoked the registration of the securities of Eagletech Communications, Inc. for failure to file mandatory reports in violation of Exchange Act Section 13(a) and Commission Rules 13a-1 and 13a-13. Under the authority of Exchange Act Section 12(j), the Commission found that Eagletech was required to file annual and quarterly reports and had failed to do so for three years before the institution of proceedings in 2005. Eagletech argued that it was the victim of two different manipulation schemes, one a "pump and dump" manipulation and the other a campaign by short sellers intending to force down the price of Eagletech's stock by "naked" short sales of Eagletech's stock. The Commission found that the acts of third parties did not provide a defense to the charge against Eagletech. (Rel. 34- 54095; File No. 3-11832) IN THE MATTER OF VERITAS FINANCIAL ADVISORS, LLC, VERITAS ADVISORS, INC., PATRICK COX AND RITA WHITE On July 5, the Commission issued an Order Instituting Public Administrative and Cease-and-Desist Proceedings and Notice of Hearing Pursuant to Section 21C of the Securities Exchange Act of 1934 and Sections 203(e), 203(f) and 203(k) of the Investment Advisers Act of 1940 (Order) against Veritas Financial Advisors, LLC, Veritas Advisors, Inc., Patrick J. Cox and Rita A. White. The Order alleges that Veritas Advisors, Cox and White engaged in fraudulent schemes to misappropriate client funds totaling more than $2,500,000. The Order further alleges that the Veritas entities, which were controlled by Cox, fraudulently failed to disclose their precarious financial condition to their advisory clients and did not maintain certain required books and records for investment advisers, and that Veritas Advisors failed to maintain proper custody of client assets and failed to maintain its registration with the Commission as an investment adviser after its registration lapsed.
