(Rel. 34-53916) ENFORCEMENT PROCEEDINGS IN THE MATTER OF JOSEPH HUARD, JR. AND BRUCE COWEN On May 31, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions (Order) against Joseph R. Huard, Jr. (Huard) and Bruce D. Cowen (Cowen). The Order finds, among other things, that the respondents each participated in an offering of a penny stock and that Huard was associated with a broker-dealer. The Order also finds that Huard pled guilty to one count of two criminal indictments of conspiracy to commit wire, mail, and securities fraud and conspiracy to commit wire and securities fraud, respectively, and that Cowen pled guilty to one count of conspiracy to commit securities fraud, mail fraud and wire fraud. Based on the above, the Order bars Huard from association with any broker or dealer and bars Huard and Cowen from participating in any offering of a penny stock, including: acting as a promoter, finder, consultant, agent or other person who engages in activities with a broker, dealer or issuer for purposes of the issuance or trading in any penny stock; or inducing or attempting to induce the purchase or sale of any penny stock. Huard and Cowen consented to the issuance of the Order without admitting or denying any of the findings contained therein with the exception of their respective criminal pleas. On May 31, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions (Order) against Robert W. Oakes, Jr. (Oakes). The Order finds that during 2002 while a supervisor at a registered broker-dealer, Oakes failed reasonably to supervise a registered representative subject to his supervision. The Order finds, among other things, that Oakes failed to follow his firm's written supervisory procedures and did not evaluate whether the registered representative's trading activity involved marking the close despite the red flags presented by the registered representative's order tickets which showed most trades for one of his customers occurring within the last thirty minutes of the close of trading. The Order also finds that had Oakes performed timely reviews of order tickets and customer account activity, as required, and inquired into the registered representative's unusual trading activity, Oakes likely would have uncovered the stock manipulation scheme. Based on the above, the Order imposes a six (6) month supervisory bar and a $25,000 civil money penalty on Oakes for his failure reasonably to supervise a registered representative subject to his supervision. Oakes consented to the issuance of the Order without admitting or denying any of the findings in the Order. (Rel. 34-53906; File No. 3- 12313) COMMISSION SANCTIONS GATEWAY INTERNATIONAL HOLDINGS, INC. AND LAWRENCE CONSALVI The Commission found that Gateway International Holdings, Inc., violated Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 thereunder by failing timely to file two annual and five quarterly reports due between May 2003 and December 2004, and that its president and chief executive officer, Lawrence A. Consalvi, caused the violations. The Commission determined that a necessary and appropriate sanction for the protection of investors, the standard set forth in Exchange Act Section 12(j), is revocation of the registration of Gateway's securities. It found that Gateway's conduct with respect to its reporting obligations was serious, egregious, recurrent, and evidenced a high degree of culpability. In ordering revocation, the Commission observed that the "[f]ailure to file periodic reports violates a central provision of the Exchange Act." Finding that Consalvi demonstrated a lack of appreciation of the reporting requirements and the importance to investors of having current and accurate information about an issuer, the Commission concluded that a cease-and-desist order against him is warranted. (Rel. 34-53907; File No. 3-11894) COMMISSION ORDERS HEARINGS ON REGISTRATION REVOCATION AGAINST UNIVERSAL MEDICAL FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS In conjunction with this trading suspension, the Commission today also instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registration of each class of the securities of Universal Medical for failure to make required periodic filings with the Commission. In this Order, the Division of Enforcement (Division) alleges that Univeral Medical is delinquent in its required periodic filings with the Commission. In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and the respondent to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute violations of Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The judge in the proceeding will then determine whether the registration pursuant to Exchange Act Section 12 of the securities of this respondent should be revoked, or in the alternative, suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in this proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. (Rel. 34- 53915; File No. 3-12314) IN THE MATTER OF THE PHILADELPHIA STOCK EXCHANGE, INC. On June 1, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order Pursuant to Sections 19(h) and 21C of the Securities Exchange Act of 1934 against Philadelphia Stock Exchange, Inc. The Commission found that Philadelphia Stock Exchange, Inc (Phlx) violated Section 19(g) of the Securities Exchange Act of 1934 (Exchange Act) from at least April 1999 through at least January 2002 as a result of its failure to properly conduct surveillance for violations of its own rules and the federal securities laws. Phlx had several deficiencies in its surveillance procedures for assuring compliance with certain trading and order handling rules in both its options and equities markets. Specifically, the Commission found that in Phlx's options market, Phlx did not employ effective automated surveillance programs to detect violations of rules relating to the priority of orders and the firm quote rule. The Commission also found that in Phlx's equities market, Phlx had similar deficiencies in its automated surveillance programs for order handling rules, including the firm quote rule, priority rules, and the limit order display rule. Phlx also had deficiencies in its automated surveillance programs for trading rules in its equities market, including rules relating to short sales, front-running, marking the close, and wash trades. Finally, Phlx did not maintain adequate written surveillance procedures for Phlx investigators. Based on the above, the Commission ordered Phlx to cease and desist from committing or causing any violations of, and committing or causing any future violations of, Section 19(g) of the Exchange Act. The Commission also ordered Phlx to obtain a third party auditor to conduct a comprehensive audit of Phlx's surveillance, examination, investigation, and disciplinary programs relating to trading applicable to all floor members. In addition, the Commission ordered Phlx to design and implement a mandatory, annual training program for all floor members and certain members of Phlx's regulatory staff. Phlx consented to the issuance of the Order without admitting or denying any of the allegations in the cease-and-desist proceeding. (Rel. 34- 53919; File No. 3-12315; Press Rel. 2006-84) SEC CHARGES FREDERICK ANTON III WITH VIOLATING INSIDER TRADING LAWS The Commission announced today that it has filed a complaint against Frederick W. Anton III (Anton) in the U.S. District Court for the Eastern District of Pennsylvania alleging that Anton engaged in unlawful tipping of material nonpublic information about PMA Capital Corporation (PMA). The complaint alleges that Anton, the former Chairman of PMA, a Philadelphia based insurance company, unlawfully tipped David L. Johnson, a former PMA employee, and encouraged him to sell PMA stock prior to the Nov. 4, 2003, public announcement that PMA would be discontinuing its payment of a common stock dividend and increasing the carried loss reserves at its reinsurance subsidiary, PMA Reinsurance (PMA Re). The complaint further alleges that on Oct. 31, 2003, Johnson contacted Anton regarding an adverse analyst report that Johnson had received about PMA. In response to Johnson's inquiry about the financial health of PMA, Anton replied that PMA was "not doing well", referred to Johnson's large PMA holdings as having "too many eggs in one basket," disclosed that PMA Re would be increasing its loss reserves and that PMA would be eliminating the payment of a common stock dividend. According to the complaint, Anton's disclosure that PMA would be eliminating the common stock dividend and that PMA Re would be increasing its loss reserves revealed material information that was not publicly available at the time. The complaint alleges that although Anton considered information regarding the reserve issue and the cessation of the common stock dividend confidential issues that were likely to have a substantial impact on the stock price and the reputation of PMA, and was aware that it was company policy that material nonpublic information regarding the company should not be disclosed to the public, Anton did not tell Johnson that he expected him to keep the information conveyed in their conversation confidential or that he should not trade based on this information. Following his discussion with Anton, and on the basis of the information he received, Johnson sold 20,000 shares of PMA stock on Oct. 31, 2003, and 20,000 shares of stock on Nov. 3, 2003. Further relying on the information he received, Johnson tipped his son, who, on Nov. 2, 2003, sold 3,300 shares of PMA stock owned jointly with his wife and 3,600 shares of stock in his capacity as custodian for his daughters. All sales were in advance of the Nov. 4, 2003, public announcement that PMA would be discontinuing its payment of a common stock dividend and increasing significantly its carried loss reserves at PMA Re. The day of the announcement, PMA's common stock closed at a price of $5.03 per share, down 62% from the prior day's close of $10.00 per share. As a result of their sales of PMA stock, Johnson and his son avoided a combined $381,333 in losses. The Commission's complaint alleges that Anton's conduct violated Section 17(a) of the Securities Act of 1933 (Securities Act) and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The complaint seeks a permanent injunction enjoining Anton from further violations of 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, a civil penalty in the amount of $1,143,999, which represents three times Johnson and his son's losses avoided, and a permanent bar against Anton prohibiting him from acting as an officer or director of any public company. Anton III, Civil Action No. 06-2274 USDC, EDPA] (LR-19712) NINE DEFENDANTS ENJOINED IN FREEDOM SURF MARKET MANIPULATION ACTION SEC Completes Litigation by Winning Summary Judgment Against Three Defendants and Settling with Six Others The Commission announced today that on May 4, 2006, the U.S. District Court in Salt Lake City granted the Commission's motion for summary judgment against defendants Allen Z. Wolfson, Mervyn A. Phelan, Sr. (Phelan Sr.) and John Cruickshank for violating the antifraud provisions, and, except for Cruickshank, the registration provisions of the securities laws. According to the undisputed facts underlying the Court's ruling, Phelan Sr., who controlled all publicly traded shares of Freedom Surf, Inc., gave Wolfson 345,000 Freedom Surf shares at no cost. Between July and October 2000, Wolfson caused the bid price of the stock to increase from $5 to $40 by calling in consistently higher bids for his brokers to enter on the OTC Bulletin Board. Wolfson also caused the price of Freedom Surf stock to rise by calling in arranged trades of Freedom Surf stock through brokerage accounts he controlled. Cruickshank aided and abetted the manipulative activity by filing false statements, at Phelan Sr.'s behest, with the National Association of Securities Dealers to get Freedom Surf stock accepted for trading. The Court enjoined Wolfson and Phelan Sr. from violating sections 5(a), 5(c) and 17 (a) of the Securities Act of 1933 (Securities Act), and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act), and Exchange Act Rule 10b-5. The Court enjoined Cruickshank from violating Section 10(b) of the Exchange Act. Besides enjoining the defendants, the Court ordered Wolfson to pay disgorgement of $76,562.50, prejudgment interest of $27,671, and a penalty of $110,000. The Court ordered Phelan Sr. to pay disgorgement of $73,733, prejudgment interest of $22,659; and a penalty of $110,000. The Court ordered Cruickshank to pay disgorgement of $36,895, prejudgment interest of $10,195, and a penalty of $55,000. The Court also granted the Commission's request for officer and director bars against Phelan Sr. and Cruickshank, and a penny stock bar against Phelan Sr. In a prior SEC action, Wolfson likewise received a penny stock bar. On May 30, 2006, the Court also entered Final Judgments permanently enjoining six other defendants who had settled with the Commission without admitting or denying the allegations in the Commission's Complaint. According to the Commission's Complaint, four of the defendants, Salomon Grey Financial Corporation, Angelo Paul Koupas, Kyle Rowe, and Christopher Roundtree, sold Freedom Surf stock to individual investors after Wolfson had artificially inflated the price of the stock. Pursuant to a pre-arranged agreement with Koupas and Rowe, Wolfson sold a block of 25,000 Freedom Surf shares at a 50% discount (approximately $6 per share) to Salomon Grey, formerly a Dallas broker-dealer. Salomon Grey brokers, in turn, sold the stock to retail customers at prices over $12 per share, constituting excessive markups of 100% or more to the prevailing market price. Rowe set the prices for the retail trades at the time of each customer's order, and Roundtree executed the trades. Under the settlements, the Court enjoined Salomon Grey, Koupas and Rowe from violations of Sections 5(a), 5(c) and 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Exchange Act Rule 10b-5. Further, Salomon Grey was enjoined from violating, and Koupas and Rowe were enjoined from aiding and abetting violations of, Section 15(c)(1) of the Exchange Act. Roundtree was enjoined from violating Section 10(b) of the Exchange Act, and aiding and abetting violations of Section 15(c)(1) of the Exchange Act. In addition, the settlements provide that Koupas and Rowe are jointly and severally liable for disgorgement of $122,559 and prejudgment interest of $46,229. Further, Koupas and Rowe agreed to pay penalties of $75,000 and $50,000, respectively. Roundtree's settlement provides that he pay disgorgement of $1.00 and a penalty of $25,000. In separate settled administrative proceedings, Salomon Grey has offered to have its broker-dealer registration revoked, and Koupas, Rowe and Roundtree have offered to be barred from association with a broker or dealer, with Roundtree having the right to reapply in one year. Also, on May 30, 2006, the Court entered Final Judgments enjoining two other defendants, Feng Shui Consultants, Inc. and A-Z Professional Consultants Retirement Trust, Inc. The Commission alleged that these entities were controlled by Wolfson, and were used to set up brokerage accounts out of which Wolfson effected arranged Freedom Surf trades. Under the settlements, the Court enjoined these entities from violations of Sections 5(a), 5(c) and 17(a) of the Securities Act, Section10(b) of the Exchange Act, and Exchange Act Rule 10b-5. The Court also barred these defendants from participating in offerings of penny stock. On May 26, 2006, the Court also granted the Commission's motion to voluntarily dismiss defendant AZW Irrevocable Trust, another entity controlled by Wolfson with a brokerage account involved in manipulative Freedom Surf trades. AZW Irrevocable Trust is believed to be defunct. The SEC v. Wolfson litigation is now complete, except for the Commission's planned distribution to injured investors. [SEC v. Allen Z.
