SEC NEWS DIGEST Issue 2002-173 September 6, 2002 COMMISSION ANNOUNCEMENTS ACCELERATION OF PERIODIC REPORT FILING DATES AND DISCLOSURE CONCERNING WEBSITE ACCESS TO REPORTS On August 27, 2002, the Commission adopted amendments to accelerate the filing of quarterly and annual reports by certain reporting companies and to require additional disclosure regarding website access to Commission reports. The amendments accelerate the filing of reports by domestic companies that have a public float of at least $75 million, that have been reporting for at least 12 months, that previously have filed at least one annual report and that are not eligible to use our small business reporting forms. The changes for these accelerated filers will be phased-in over three years, with no change in deadlines for the initial year, as follows: the annual report deadline will remain 90 days for year one and change from 90 days to 75 days for year two and'from 75 days to 60 days for year three and thereafter; and the quarterly report deadline will remain 45 days for year one and change from 45 days to 40 days for year two and from 40 days to 35 days for year three and thereafter. The first reductions will occur for annual reports on Form 10-K for fiscal years ending on or after December 15, 2003 and quarterly reports on Form 10-Q for fiscal years ending on or after December 15, 2004. Conforming amendments were also made to the timeliness requirements for the inclusion of financial information in Securities Act registration statements, proxy and information statements and transition reports. The amendments also require accelerated filers to disclose the following in their annual reports on Form 10-K beginning with reports for fiscal years ending on or after December 15, 2002: the company's website address, if it has one; whether the company makes available free of charge on its website, if it has one, its annual report on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K and all amendments to those reports as soon as reasonably practicable after such material is electronically filed with or furnished to the Commission; and if the company does not make its filings available in this manner, the reasons it does not do so and whether the company voluntarily will provide electronic or paper copies of its filings free of charge upon request. (Rels. 33-8128; 34-46464; FR-63; File No. S7-08-02) ENFORCEMENT PROCEEDINGS COURT ORDERS INSIDER TRADERS TO PAY OVER $1.1 MILLION IN PENALTIES AND DISGORGEMENT On August 27, 2002, the U.S. District Court for the Southern District of New York entered a final judgment by default against John James Panagotacos and his father James John Panagotacos for insider trading. The Court deemed the Panagotacoses to have admitted the allegations in the Commission's complaint. The complaint alleged that John Panagotacos was tipped in advance of three public announcements by his friend and former college roommate who was an analyst at Morgan Stanley & Company. John Panagotacos then tipped his father, James Panagotacos, and the pair traded in advance of announcements on August 25, 1997, that Perkin-Elmer Corporation would buy PerSeptive Biosystems, Inc.; on August 29, 1997, that NationsBank Corporation would acquire Barnett Banks, Inc.; and on September 15, 1997, that Equity Office Properties Trust would acquire Beacon Properties Corporation. By their fraudulent conduct, the Panagotacoses made illegal profits of over $150,000. The Court ordered John Panagotacos to pay disgorgement in the amount of $54,443.75, plus prejudment interest in the amount of $79,511.66, and James Panagotacos to pay disgorgement in the amount of $103,300, plus prejudgment interest in the amount of $151,357.39. The Court also ordered John Panagotacos to pay a civil penalty of $473,231.25, which represents three times his profits and those of his tippee-father, and James Panagotacos to pay a civil penalty of $309,900, which represents three times his profits. Finally, the Court's order permanently enjoins the Panagotacoses from violating the antifraud provisions contained within Section 10(b) of the Securities Exchange Act of 1934 and Rule l0b- 5 promulgated thereunder. Mahabir, et al., Civil Action No. 02 CV 1809, BSJ, S.D.N.Y., filed March 7, 2002] (LR-17712) COMMISSION OBTAINS DEFAULT JUDGMENTS AGAINST ERIC RESTEINER AND VOLDEMAR VONSTRASDAS IN CONNECTION WITH $22 MILLION FRAUDULENT TRADING SCHEME The Commission announced that, on August 19, 2002, the Massachusetts federal district court entered default judgments against Eric E. Resteiner and Voldemar A. VonStrasdas in connection with an alleged $22 million fraudulent trading scheme. The Honorable Patti B. Saris of the United States District Court for the District of Massachusetts entered final judgments ordering Resteiner and VonStrasdas, jointly and severally, to pay disgorgement plus prejudgment interest of $25,930,895.26. In addition, the Court ordered Resteiner and VonStrasdas to each pay civil penalties of $4.4 million and permanently enjoined each of them from violating the antifraud and other provisions of the federal securities laws. The Commission's complaint against Resteiner and VonStrasdas, filed on April 16, 2001, alleged that from 1997 through 2000 Resteiner, VonStrasdas and others participated in a fraudulent trading scheme that raised approximately $22 million from at least 50 investors, many of whom were members of the Christian Science Church. According to the complaint, Resteiner and VonStrasdas promoted their trading scheme under various names, including Swiss Asset Management, Wall Street South, and Resource F and solicited investors using misrepresentations typical of Prime Bank-type investment frauds, including that the investment involved high-quality debt instruments of very large international banks, that the investors' principal was never at risk and could be returned after one year, and that investors would receive profits of approximately 4-5% every month (or 48-60% annually). Resteiner and VonStrasdas were specifically enjoined from violating Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule l0b-5 thereunder. VonStrasdas was also permanently enjoined from violating Section 15(a) of the Exchange Act. The remaining defendants in the case are Miles M. Harbur, Charles G.
