SEC NEWS DIGEST Issue 2002-63 April 2, 2002 COMMISSION ANNOUNCEMENTS SEC SUSPENDS TRADING IN COMMON STOCK OF NETAIR.COM, INC. On April 2, the Commission ordered the temporary suspension of trading in the securities of NetAir.com, Inc. NetAir is headquartered in Salt Lake City, Utah. The suspension concludes at 11:59 p.m. EST on April 15, 2002. The Commission ordered this trading suspension because questions have been raised regarding the accuracy of assertions by NetAir, and by others, in its annual report filed on Form 10-KSB for the period ended December 31, 2001, and in press releases concerning, among other things: (1) Netair's ability to commence business operations; (2) the qualifications of NetAir's secretary, Robert Waddell, to perform aircraft appraisals, Netair's purported core business; and (3) the identity of the persons in control of the operations and management of the company. (Rel. 34-45678) ENFORCEMENT PROCEEDINGS IN THE MATTER OF ALPHA TECH STOCK TRANSFER, ET AL. In an Initial Decision issued April 1, Chief Administrative Law Judge Brenda P. Murray found that Alpha Tech Stock Transfer (Alpha Tech) violated Sections 17(a)(3) and 17A(d) of the Securities Exchange Act of 1934, and Exchange Act Rule 17Ad-10(b) and (g). The decision found that Alpha Tech issued 3.4 million shares of Say Yes Foods, Inc. (Say Yes) without authority as part of a "stockleasing plan" whereby public companies leased their shares to European insurance companies who paid a fee to show the shares on their books as assets. Say Yes discovered Alpha Tech's unauthorized activities when Lehman Brothers International (Europe) demanded that the 3.4 million shares be reissued in its name. Alpha Tech's actions violated the federal securities laws and regulations because as the transfer agent for Say Yes it did not record the purchase of 3.4 million shares of Say Yes on the master securityholder list, and it did not remedy the over-issue of Say Yes shares. James W. Farrell, who organized Alpha Tech and served as trustee, aided and abetted the firm's violations. Acting pursuant to Section 17A(c)(3) and 17A(c)(4)(C) of the Exchange Act, Judge Murray revoked the registration of Alpha Tech Stock Transfer, and barred Mr. Farrell from associating with a transfer agent. (Initial Decision Rel. No. 202; File No. 3-10456) INJUNCTION ISSUED AGAINST STEPHEN FISCHER ORDERING HIM TO COMPLY WITH A COMMISSION ORDER On March 21, 2002, United States District Judge Gary A. Feess of the Central District Court in California entered an injunction against Stephen J. Fischer (Fischer) granting the Commission's motion for Summary Judgment. The injunction enforces an order issued against Fischer by the Commission in an administrative proceeding in which Fischer was a respondent. Specifically, on April 18, 2001, Fischer was ordered, among other things, to pay a $5,000 civil penalty in a proceeding in which it was alleged that he submitted false bid and ask quotes for The L.L. Knickerbocker Co., Inc. stock in violation of Section 15(c)(2) of the Securities Exchange Act of 1934 and Rule 15c2-7 thereunder (In the Matter of Shamrock Partners, Ltd., James T. Kelly, John R. Doyle and Stephen J. Fischer, File No. 3-10344, April 18, 2001). Even though Fischer consented to the issuance of the order by the Commission, he failed to pay the $5,000 civil penalty. Accordingly, the Commission filed the District Court action seeking that Fischer be ordered to comply with the Commission's order. [Securities and Exchange Commission v. Stephen J. Cal.)] (LR-17449) COURT ENJOINS INTERACTIVE PRODUCTS AND SERVICES AND MATTHEW BOWIN IN STOCK FRAUD A federal district judge in San Francisco enjoined Interactive Products and Services, Inc. (IPS), a computer accessories company based in Santa Cruz, California, and its chief executive officer, Matthew Bowin, in a case charging stock fraud. On March 27, 2001, United States District Judge James Ware entered judgment against IPS and Bowin, ordering each to refrain from future fraudulent conduct and sales of unregistered securities in violation of the federal securities laws. The judgment also requires Bowin to pay $236,176 in disgorgement and interest and $110,000 in penalties. In April 1998, the Commission sued IPS and Bowin, alleging that they had conducted a fraudulent offering of stock to the public over the Internet. The Commission alleged that IPS raised approximately $190,000 from about 150 investors nationwide. In the offering materials, Bowin and IPS represented that all offering proceeds would be held in escrow, and would be returned to investors if a minimum investment level of $500,000 were not reached by the close of the offering. The Commission charged that, even though the offering had failed to raise $500,000, Bowin misrepresented to certain investors that the offering was successful and that they would be receiving stock certificates shortly. Instead, Bowin pocketed the offering proceeds. In its complaint, the Commission alleged violations of Section 17(a) and the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5. In 1999, Bowin was convicted in state court on fraud and grand theft charges related to the same scheme. He is currently serving a 10-year prison sentence. [SEC v. Bowin, United States District Court for the Northern District of California, Civil Action No. C-98-20313 JW] (LR-17450) TLC ENTITIES' PRESIDENT AND CFO PLEAD GUILTY TO TAX FRAUD The U.S. Attorney for the Southern District of California announced that the president and Chief Financial Officer of TLC Investments & Trade Co. and related entities pleaded guilty to criminal charges brought in connection with a multimillion dollar offering fraud perpetrated nationwide. Ernest F. Cossey, President, and Gary Williams, CFO of the TLC entities pleaded guilty on March 22, 2002, and February 14, 2002, respectively. Cossey pleaded guilty to one count of conspiracy to commit mail fraud and one count of filing a false tax return. Williams pleaded guilty to one count of preparing a false tax return for Cossey. Cossey faces a possible sentence of 57 to 71 months in prison and Williams faces a possible sentence of 18 to 24 months in prison. Cossey and Williams are scheduled to be sentenced in July 2002. In October 2000, the Commission filed an emergency action against Cossey, Williams and several other defendants, alleging that they violated the registration and antifraud provisions of the securities laws. The Commission's complaint alleged that since 1998, the defendants committed securities fraud by perpetrating a real estate Ponzi scheme. The TLC entities raised over $150 million from more than 1,800 investors, most of whom are senior citizens. The TLC entities promised investors a safe, liquid investment that would pay guaranteed returns of 8 to 15%. Instead, Cossey and Williams misused at least $28.3 million of investor funds to pay other investors, invest in a prime bank scheme, buy racehorses, make charitable contributions and wire funds overseas. Cossey and Williams settled the Commission's action by consenting to the entry of permanent injunctions prohibiting future violations of the antifraud provisions. Cossey also consented to the entry of an injunction prohibiting future violations of the securities registration provisions. The judgments require Cossey to pay $10,690,697 in disgorgement, $271, 921.53 in prejudgment interest and $110,000 in civil penalties and require Williams to pay $248,145 in disgorgement.
