EDGAR Rel 8.7 Reduced Content XFDL Filing Specification

For EDGAR Release 8.7, the EDGAR Reduced Content XFDL Filing Specification has been updated. The EDGAR Release 8.7 Reduced Content XFDL Filing Specification can be downloaded via the links below.

The EDGAR Release 8.7 Reduced Content XFDL Filing Specification provides, to those filers that are interested, a basis for creating XFDL filings without the use of the EDGARLink. The expectation is that software developers, working on behalf of filers, will construct software that will generate an XFDL filing that can be successfully parsed by the EDGAR Receipt Server.

A summary of the changes is provided as follows:

Changes to Template 3

1. The SubFiler_fileNumber_ field is now required for the following submission types:
    
   15-15D, 15-15D/A
    
2. The SubCoreg_fileNumber_ field is now conditionally required for the following submission types:
    
   15-15D, 15-15D/A
    
3. The new SubSerial_companyName_ field is now required for all serial companies for the following submission types:
    
   424B1, 424B2, 424B3, 424B4, 424B5, 424B7

Minor Changes to Appendices

The following Appendices have been updated to reflect minor changes, to correct some documentation errors, and to bring the specification into compliance with EDGAR processing.

Appendix II

1. Documentation change only — In order to be consistent with Template 1 and with current EDGAR processing, the PAGE 6 and PAGE 7 sections were updated for SubPayor_payorId_, SubPayor_payorCcc_, SubFee_paymentMethod_, and SubFee_feeAmount_.
    
2. Documentation change only — In order to be consistent with Template 2 and with current EDGAR processing, the asterisks in the PAGE 7 section were removed from SubSalesShares_series_, SubSalesShares_salesProceeds_, and SubSalesShares_redeemedValue_.

Appendix III

1. Documentation change only — In order to be consistent with Template 1 and with current EDGAR processing, the SubSalesShares_redeemedValue_ column was updated for submission type 24F-2NT, and the SubFee_feeAmount_, SubSalesShares_salesProceeds_, and SubSalesShares_redeemedValue_ columns were updated for submission type 24F-2NT/A.
    
2. Documentation change only — In order to be consistent with the convention used on other submission types and with current EDGAR processing, the SubOffering_offeringShares_ column and the SubOffering_offeringAmountPerShare_ column were updated for submission type F-1/A.

There are two elements to the draft specification that can be downloaded separately. The first, the specification itself, gives you details about the release, general instructions on the templates, general rules about the XFDL file being created and specific rules on the XFDL nodes containing data elements. It also includes information on the content of the appendices and some sample documents. The second document is in MS Excel format and gives the specific requirements for each form type.
