DRAFT EDGAR Form D XML Technical Specification (Version 7.4.0)

This DRAFT EDGAR Form D XML Technical Specification (Version 7.4.0), posted before Commission approval of potential regulatory changes in this release, is provided as a service to our filing community to assist filers, agents, and software developers in their preparation of responses to potential changes the staff anticipates. Since this is a draft specification, the SEC retains the right to change any part of the specification before the new system release is made final. In addition, the final EDGAR Form D Technical Specification is subject to Commission approval and may be revised before approval or not approved at all. Similarly, the posting of the DRAFT EDGAR Form D Technical Specification (Version 7.4.0) does not indicate Commission approval of any pending proposed changes relating to the potential changes reflected in the draft specification. The changes outlined in this draft specification, if approved, are scheduled to take effect on April 12, 2010. The final version of the specification will be made available if approved by the Commission on or about April 12, 2010 on the SEC's Public Website.

EDGAR Release 10.1 introduces the following change to the DRAFT EDGAR Form D XML Technical Specification (Version 7.4.0):

  • A new element, “<stateOrCountryDescription>”, has been added to capture the state or country name that coincides with the state or country code value of the <stateOrCountry> element as listed in APPENDIX A - STATE AND COUNTRY CODES. The value for this new element will be pulled from the EDGAR database based on the value of the <stateOrCountry> element.  The filer should not provide any values for this element.
     
  • A new group, “<STATE_SOLICITATION_GROUP>”, has been added to the FormDSubmission.xsd schema file to encapsulate the “<STATES_OF_SOLICITATION_LIST>” that includes the original <state> element and a new <description> element.  The new <description> element will be used to store the state name, as listed in APPENDIX B - STATE OF SOLICITATION CODES, and will be pulled from the EDGAR database based on the code value of the <state> element.  The filer should not provide any values for this element
     
  • A new element, “<foreignSolicitation>”, has been created to indicate if foreign/non-US sales have been solicited by the recipient.  If provided, the value can only be “true” or “false”, where “true” indicates foreign/non-US sales have been solicited by the recipient.
