This draft updated Filer Manual (Volumes I, II), posted before Commission approval of potential regulatory changes in this release, is provided as a service to our filing community to assist filers, agents, and software developers prepare for potential changes the staff anticipates. Since this is a draft manual, the SEC retains the right to change any part of the manual before the new system release is made final. In addition, the final EDGAR Filer Manual (Volumes I, II) is subject to Commission approval and may be revised before approval or not approved at all. Similarly, the posting of the draft manual does not indicate Commission approval of any pending proposed changes relating to the potential changes reflected in the draft manual. All the changes outlined in this draft manual, if approved, are scheduled to take effect in late 2006. The final version of the updated manual volumes will be made available as and if approved by the Commission on a date to be determined on the SEC's Public Website.

Changes to the DRAFT EDGAR Filer Manual (Volume I) General Information (Version 3) and EDGAR Filer Manual (Volume II) EDGAR Filing (Version 4) are being made primarily to support the amended rules and forms being considered by the Commission to address 1) revisions to the accelerated filer definition for filing periodic reports for Exchange Act reporting companies; 2) new form types for the termination of registration of a class of equity securities by a foreign private issuer (15F-12B, 15F-12B/A, 15F-12G, 15F-12G/A, 15F-15D, 15F-15D/A); 3) electronic filing of Transfer Agent forms (TA-1, TA-1/A, TA-2, TA-2/A, and TA-W); and 4) a “Duty to File Reports Remains” indicator in EDGARLink to capture whether an Exchange Act reporting company’s filing obligations have terminate.

PLEASE NOTE that on the date that this notice is posted, rules for Electronic Filing of Transfer Agent Forms (CFR 34-54356) and Termination of a Foreign Private Issuer's Registration of a Class of Securities Under Section 12(g) and Duty to File Reports Under Section 15(d) of the Securities Exchange Act of 1934 (CFR 34-53020) are in the proposal stage and no final Commission decision is expected to occur before EDGAR Release 9.5 goes into production on October 30, 2006.
