     Dear Mr. Katz,
     
     File number S7-3-98 is a bad idea.  Please stop this regulation -- it 
     is a good idea, but has bad consequences.  The new proposal is
     more burdensome than the 1991 proposal and what we don't need is more 
     burden caused by regulations.
