Dear Mr. Katz,
     
This letter is in reference of S7-3-98.
     
While I'm sure the SEC has good intentions, this rules change will have 
a material adverse affect on investors such as myself who invest in 
pink-sheet and OTC-BB stocks. This regulation is a very bad idea. The 
consequences will be highly detrimental to investors, issuers and the 
secondary markets.
     
Please consider the negative impact this regulation will have!
