Subject: re: shareholder resolutions Date: 11/25/97 8:56 AM Jonathan Katz, Secretary Securities and Exchange Commission Mr. Katz: As a concerned shareholder, I am dismayed by the SEC's new proposed rules (S7-25-97). These rules erode one of the important ways we, as Americans, can democratically participate in corporations, and give meaning to the name shareholder. Shareholders have a compelling financial interest in a broad range of issues with the companies they own. I was proud to take part in a shareholder resolution for a company whose shares I have owned for the past 17 years, and for the first time, felt like I was speaking up for making the company stronger. Please stop these discriminatory rules from going forward. Sincerely, Christopher Mogil 21 Linwood St. Arlington, MA 02174
