Subject: S7-25-97 Date: 11/6/97 4:36 PM Jonathan Katz, Secretary Securities & Exchange Commission Dear Mr. Katz: I am an individual investor who manages several large trusts for my family and owner of a small business that provides multi-media information services for socially and environmentally concerned investors, consumers and businesspeople. Our web page (http://www.goodmoney.com) is currently getting about 2,000 hits a week. Our current mailing list contains between 20,000 and 25,000 names. I am opposed to the subject proposed rules changes. These would eliminate the ability of most shareholders to participate in the shareholder resolution process. Shareholders are concerned about many social issues, almost all of which have an impact on the financial bottom line and return to shareholders. Please reverse Cracker Barrel but keep the existing rules in place. Better yet, propose new rules that would enhance the shareholder resolution process. Sincerely, Dr. Ritchie Lowry
