Date: 1/5/98 2:49 PM Subject: s7-25-97 Dear Mr. Levitt: I write in opposition to rule S7-25-97 (which has become known as the stockholder gag rule). I can't imagine a reason to limit discussion of stockholder initiatives at meetings that would not be well outweighed by stockholders' rights to say, and to hear and consider, any matter that might pertain to the company in which they hold a share. It seems a basic principle of democracy and of ownership. If this rule passes, we can safely declare fictional the notion that the stockholders own the company. Please drop this proposed rule. Have a happy -- and democratic -- new year. Margaret Groarke 3250 Perry Avenue #6G Bronx, New York 10467
