Subject: File No. S7-25-97 Date: 11/20/97 5:13 PM To SEC, I urge you to reconsider the regulations proposed in S7-25-97. We live in an age when the corporation is again becoming invulnerable. Without power over the actions of a company, stockholders cease to be owners and become lenders. A board of directors must be responsible for the actions it takes. The protection for wrong action is not limiting the recourse of the owners but insuring the board. With such accountability, boards will become stronger and wrongful decisions fewer. Again, please think twice before accepting these regulations. Thank you, Ken Geis
