Subject: Attention Jonathan Katz; refer to File No. S7-25-97 Date: 11/20/97 8:43 PM Dear Mr. Jonathan Katz, My name is Scott Bolden and I am a second-year law student at Indiana Univesity--Bloomington. I have recently become aware of the S.E.C.'s recently proposed rules which would raise the submission thresholds for shareholders. I am strongly opposed to this proposal, because I feel that it is against the interests of the general public, the nation as a whole, and the companies themselves. I believe that the proposed changes are against the interests of these groups because it eliminates an invaluable source of input and discourse from the organizations who need this discussion the most. Both the public and the nation benefit from infusing new ideas, new proposals, and creativity into the public's investments and the nation's economic backbone. More importantly, if this creativity and input is stifled, the very companies attempting to reap perceived "efficiency" from the proposed changes in the short-term will surely lose competitively in the long-term in this global market.
