The recent scandals in the management of US corporations are clear evidence that current Board governance of corporations is ineffective most likely due to the incestuous relationship between boards and management. In fact, I strongly urge that rules are changed so that nominations to the Board be by investors only, and that existing Boards and management may only nominate as investors, and that all investors must be treated as equal in the nominating process.
