The present process is management dominated and does not represent shareholder interests. It is clear that the selection and reelection of Directors is wholly within the control of management, and therefore few Boards have any control over their sponsers and paymasters. Since it is almost impossible to effect change investors are driven to vote with their feet and disasters like Enron, Worldcom, and Adelphia will continue. Sincerely Kyran O'Dwyer
