The more qualification requirements, thresholds, and triggering events there are in place, the more shareholders WHO OWN THE COMPANIES OF CONCERN will be excluded from the only processes giving them a real voice in the affairs of companies that THEY own. Democracy can be expensive, but it works. Give shareholders broad access to the process, and let decisions be made during voting. Shareholders will do the right thing.
