Having sponsored shareholder proposals that have received 34% approval and then to have them largely ignored by the corporate Board of Directors is appaling. Then to have recourse to bring suit against the company and have a judge decide the company's actions were illegal is worse. Then to have the company vow to fight this decision on appeal is incredible. Shareholder's need more control of who and how directors get elected/compensated/overseen. Reference: Cooper vs IBM
