                                Re:  S7-14-98, Proposed Revision of Rule 504
     
     
For the record, our Company, Oakmont Resources, Inc.,  is against the 
revision of Rule 504, as proposed in S7-14-98.  It is our belief that the 
proposed revision of Rule 504, when enacted, will unduly burden the ability 
of small businesses in the public market.  This is certainly the case for 
our Company.  We are planning an issue to apply to our oil and gas program.
