The hand picked (by the CEO) Boards of Directors in American corporations cannot be relied upon to take action on behalf of shareholders. Increasingly nominees to these boards consist of friends and/or business associates of the CEO that do not scrutinize the CEO or his management team once elected to the board. It is time that democracy should come to the corporate ballot. Shareholders (the true owners of corporate America) should be entitled to a fair and impartial opportunity to elect truly independent Directors. I hope you pass this rule.
