Dear Mr. Katz,

    As an individual investor, corporate attorney, a former trustee/President 
of the Los Angeles Fire and Police Pension Board and recent past co-chair of 
the Council of Institutional Investors, I applaud your consideration of the 
proxy rules and related regulations. These rules and regulations go to the heart 
of the efficient operation of the marketplace and investor protections. Your 
review and appropriate revision of these rules is critical to both correction 
of the market problems so apparent over the last few years and the restoration 
of investor confidence in the market.
