 Thank you so much for taking the time to review the proxy rules on this issue.  
 I so appreciate it.

 As I have investments in the market it is alarming to me regarding the CEO 
 excesses and corporate frauds that have taken place recently.
 
 I feel strongly and would be grateful for any improvements the SEC is able 
 to make to the proxy rules that affect me and other shareholder's ability to 
 oversee companies in which I and others have a part.
 
 I strongly believe that we shareholders should be able to select directors 
 and not ones that are chosen by CEO's.
 
 Again thank you for reviewing the rules and giving this your consideration.
