TOSTO The Commission has ordered public administrative proceedings pursuant to Sections 15(b) and 19(h) of the Securities Exchange Act of 1934 (Exchange Act) against Peter C. Tosto of New York, New York. The Order Instituting Proceedings alleges that Tosto was permanently enjoined by consent on July 1, 1996 by the United States District Court for the District of Colorado in SEC v. Balance for Life, Inc., 95-D-2471. The Court's order enjoined him from future violations of the securities registration provisions of Section 5(a) and (c) of the Securities Act of 1933 (Securities Act), the anti-fraud provisions of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and the broker-dealer registration provisions of Section 15(a)(1) of the Exchange Act. The complaint alleged that Mr. Tosto's conduct related to the offer and sale of the securities of Balance for Life, Inc. during 1991 and 1992. A hearing will be scheduled to take evidence on the staff's allegations and to afford Mr. Tosto an opportunity to present any defenses thereto. The purpose of the hearing is to determine whether the allegations are true and whether any remedial action should be ordered by the Commission.
