Ms. Vanessa Countryman Secretary Securites and Exchange Commission Dear Ms. Countryman, As a shareholder of Grayscale Bitcoin Trust I ask that you please approve the Form 19b-4 that NYSE Arca filed with you to convert OTCQX: GBTC into a Bitcoin Spot ETF. Since you have already approved several futures-based Bitcoin ETFs, what reason is there not to similarly approve a spot-based ETF. I urge you to approve this. Regards, Gary Carter
