To whom this may concern, I am writing in support of SR-NYSE-2021-45. As a retail investor, a subscription warrant will grant us protection and improve the current SPAC structure. 1. Investors would not need to tie up excessive capital while waiting for the sponsor to find a deal. 2. Quality of deals find should in theory be enhanced as there would no longer be time constraints for the sponsor 3. Investors will be able to review the transaction before committing any capital instead of blindly hoping that the target acquired is optimal (money already invested). Regards, Marty Chuong
