 Dear SEC,

I am writing to express my support for the proposed rule S7-31-22. I believe that this proposal has the potential to significantly benefit individual investors by promoting competition and transparency in the market.

In the current market structure, individual investors often face challenges in getting the best prices for their orders, as they may not have access to the same resources and information as larger institutional investors. The proposed rule, which aims to give individual investors more opportunities to trade directly with institutional investors, has the potential to level the playing field and give individual investors a better chance of receiving more favorable prices for their trades.

Additionally, the increased transparency and competition that this proposal aims to promote will be beneficial to all investors, including institutional investors, as it will give them more opportunities to trade directly with individual investor orders that are currently largely inaccessible to them. This will ultimately help to create a more efficient and fair market for all investors.

Overall, I strongly support the proposed rule S7-31-22 and believe that it has the potential to significantly benefit individual investors and investors generally by promoting competition and transparency in the market.
