Thank you for this opportunity to respond / comment. 


How about including a transaction Min # as a criteria where a sophisticated investor could be labeled accredited after perhaps 10 transactions as a sophisticated investor, this could be commingled with a smaller income or wealth benchmark. 


A person could be considered sophisticated by some certain education / certification, but not accredited until after the 10th transaction or meeting the wealth / income. 


This would allow at least a path for the small investor to gain access to the private equity markets, obviously with some debate as to what would constitute education / certification / transaction.
