Dear SEC, I am not a stock broker or employed by financial institution. I read the proposed changes for the definition of an Accredited Investor. I would like if you consider providing an equal access to everybody to promote startup deals. I believe anyone who has the cash and wants to invest in a Reg D offering should be able to do so. We are responsible individuals and understand that we are exposed to risk. How come investing in penny stocks or lottery or gambling can be legal while Reg D illegal and out of reach? Please give a chance to the responsible ordinary hardworking people to promote the whole specter of startup deals. Best Regards, Guenadi Jilevski
