Subject: Amending the “Accredited Investor” Definition
From: Bryan Cane

To Whom it May Concern:

I think that allowing more investors to participate in private offerings by adding new categories of natural persons that may qualify as accredited investors based on their professional knowledge, experience, or certifications would be prudent. It would allow many qualified individual investors to participate in the returns of the private market.

I think it would be reasonable to allow those who hold academic credentials such as MBA or PhD (in business related discipline) and/or related professional designation/certification/license such as CPA, CFA, or ASA (Business Valuation) who have indicated they are aware of the risks involved to invest in the private market.

Sincerely,

Bryan M. Cane
