Dear Sirs:

I have become aware of the proposed rules which would adversely impact who might be eligible to invest in hedge funds or similar vehicles. Please reconsider such action.

I am now retired and would not be willing to invest in ANY higher risk investments. Regardless, I feel it is clearly improper to discriminate against investors based on their net worth. It would simply enhance the tendency for the "rich to get richer, and the poor get poorer".

I do support transparency and full disclosure by whatever investment vehicle is being sold. The small investor should have access to the same information as does the wealthy or institutional investor.

Because of life choices, I would not be eligible to invest if the definition is changed as proposed, However, in addition to being an MD, I also have an MBA degree and have the same capacity to evaluate risk as does the wealthy investor. Please do not discriminate against my ilk.

Best wishes.
