Dear Mr. Clayton and members of the SEC,

Im a step-mother/grandmother worried about the rapidly accelerating impact of climate change on my stepchildren/grandchildren and all children. My stepdaughter is an active member of Mothers Out Front, and I write to you as a concerned citizen, urging you in the strongest possible terms, to withdraw changes to SEC Rule 14a-8.

If you go forward in changing this rule, the SEC will be protecting big corporations at a time, when big corporations need to be held to account for their actions environmentally and ethically. We are in a climate EMERGENCY. We need stronger protections for the environment, not less.

I have investments in funds that are marketed as sustainable. I choose my investments this way because I am worried about the impact of climate change on my stepchildren/grandchildren. It is important for private investors like me to have our views known by the companies in which we invest. Corporate actions have a big impact on climate, and shareholder proposals are an important way for investors like me to have a voice.
I am actively withdrawing investments in and economic support of any corporation who is not actively seeking ways to reduce its carbon footprint and environmental impact.

Therefore, I urge you to please reject this proposed change to SEC Rule 14a-8. Thank you.
