This arbitrary obstruction of resolutions from all but the largest shareholders would emancipate corporations from the very last restraint upon their behavior, which is conscience of shareholders whose values or interests differ from those of the corporate directors. If corporations are truly to be understood as 'persons' as legal fiction currently holds, the underlying human status cannot be restricted the wealthiest individuals capable of owning the inflated ownership thresholds proposed by SEC. Under this asinine rule, large corporations will become super-person sovereigns accountable to only the largest shareholders and directors who command the vast powers of the corporation. The comparative powers of individual humans will fade further into irrelevance as they lose a last reign of control over these legal fictions called corporations.
