Rule Comments, As a retired carpenter I pay attention to what is going on in my portfolio and have attended many stock holder meetings. The 'small' shareholder has very little say in corporate operations even tho' it may be their major investment. Elections to the board invariably involve the exact same number of board selected candidates as seats. The only influence 'Main Street' has on corporate governance is through shareholder proposals. While these aren't often successful they give the board an idea which way the wind is blowing and may have some influence - particularly by repeated introduction and increasing approval. Too many CEOs are still board chairman but stockholders have made some gains in this area. There are other issues of concern that need to be addressed please do not tilt the rules further in favor of self enriching executives. M. McGinnis [redacted]
