Hello, I saw that RIN 3235-AN36 was posted on reginfo.gov and I have a few suggestions about the rule. First, I believe this rule should be removed completely from the stock market. I believe it’s unfair that stocks have to have disclosures while private investments and crypto do not have this requirement. Also, liquidity has been very absent on the stock market since this rule was introduced. I believe that many companies can not afford to public due to this time which is why there have been many companies deciding to stay private. Foreigners in other countries are able to invest in expert market stocks while American retail can not. This is completely unfair and dangerous to our economy. By the time a company does file its 15c2-11, there is no room for retail to make a profit and accredited investors and foreigners use this time to dump on retail. This rule violates antitrust law since companies who are able to afford disclosures don’t have to compete to sell shares anymore. 


There are plenty of reasons why I believe this rule should be removed especially for otc stocks. I think there should be a comment period unless you agree that this rule needs to be removed for OTC markets as well. Retail deserves to have a fair shot at achieving the American dream and I hope you consider this and make the right decision. Getting rid of this rule would give small businesses an easier way to access capital from investors and give retail investors free and fair access to the stock market once again. I have been trying to get rid of this rule for the past few years so hopefully this message will help the cause. There are plenty of OTC traders who agree with me and hopefully they reach out to you as well.
