Dear Chairman Cox:

As an investor, I appreciate both sides of the discussion of shareholder proposals. It worries me that the SEC may allow the restriction or elimination of shareholders' rights to propose advisory resolutions under Rule 14a-8.

Given the growing voice that businesses have within the government, it is vital that individuals have a greater opportunity to be heard by businesses and fellow shareholders. Internet forums and the like can provide an important supplement to shareholder proposals and should be required alongside, not in lieu of, shareholder forums.

Please let me know what action you intend to take on this issue, as it certainly will have a bearing on how my family invests its higher education accounts, rainy-day funds, and retirement accounts.

Sincerely,

Jerome Bargov
