I am a shareholder of a variety companies and rarely do I see the opportunity to vote for something other than the proposals as presented and recommended by management. The SEC has been lacking in correcting this issue. Minority shareholders are in an antinomy of voting strictly as the board recommends or voting against the recommendations. However, the new proposal would ameliorate the situation by potentially changing the slate of board members. The requirements, as set up by the SEC, are tough enough to discourage abuse. The proposals will encourage shareholders with large positions in companies to address board member issues.

I highly recommend you pass the proposals as recommended.
