The Commission has done some Very Good things with the Reg. D changes. It could do more by allowing small investor to invest and take away the maximum of 35 and put a limit of how much they can invest to lets say no more than 2% of their assets or $10,000. Advertising like crowdfunding is an excellent idea. Increase Reg D 504 to 5 Million and allow crowdfunding. Let Reg D 504 be exempt from all State registration make it uniform. This will increase lots of Job growth. Make it easier to be listed on pink sheets or OTC for 504. 1 million is to small now a days. $5 million on Reg.D 504. Make 504 Reg D Great for small Business.
